Mr. McGill has a wide ranging corporate practice with an emphasis on corporate finance. His experience includes the representation of both issuers and underwriters in private placements and public offerings (equity and debt), and the representation of his clients Mr. McGill has been involved in all aspects of their business including the negotiation and documentation of licensing agreements involving both domestic and foreign rights. Mr. McGill has been involved in all aspects of structuring transactions and consummating an offering, including bringing the principals to the table. He has represented a number of investment banks, including Bear, Stearns & Co., Inc., Paine Webber and Integrated Resources in connection with structuring issues and public offerings and private placements. On the other side of the table, Mr. McGill has represented a number of issuers, including Theragenics Corporation, which he represented from its initial private placement through its initial public offering; Standard Automotive Corporation, which he represented in connection with its private placements, acquisitions and initial public offering; Immtech International, Inc., which he served as special counsel in structuring and completing a simultaneous public offering in the United States and Hong Kong; 800 Travel Systems, Inc., which he represented in connection with its private placements and public offering and HB Communications Acquisition Corp., which he represented in connection with its initial public offering; Colgate University (A.B., 1977); Hofstra University School of Law (J.D., 1980); New York University (LL.M., Corporation Law, 1986). |
