Corporate Law
Education Law
Mr. Greer served as General Counsel to Northwest Missouri State University for more than 28 years. In that capacity, he has been involved in issues involving governance, faculty and staff employment, tenure and removal from tenure positions, matters related to students including student housing, student disciplinary matters, distance learning, program elimination, faculty and staff handbooks, Title IX, construction contracts and litigation, wage and hour issues, real estate matters, intellectual property issue of the University, and Bond and financing issues. Mr. Greer has also done work for other regional universities, as well as major private universities involving matters including handbook and program issues, as well as student loan and bankruptcy issues. He has also consulted with both in-house and outside counsel for most Missouri colleges and universities.
Business and Corporate Law
Mr. Greer has represented clients involved with everything from the formation of a business, acquisition of businesses, and mergers of businesses. His representation has included licensing and other intellectual property issues including developing software contracts. He has developed buy/sell agreements and been involved with interpretation and enforcement of commission contracts. His work has included developing employment agreements, non-compete agreements and the enforcement of non-compete agreements. He has been involved in the dissolution of business entities including the litigation that may be required to dissolve a corporation or limited liability company.
Banks and Banking
Mr. Greer has represented banks, serving as lead counsel in documenting many complex and large loans including a $50 million loan for the acquisition of a large restaurant group, with several restaurants located nationwide, loan to nationwide shopping center owners specializing in major anchor tenants, loans for hotels in New York City, loans for acquiring nationwide trucking companies and various lending facilities, not only locally but also nationally. He has also been involved in collection of loans that have gone into default.
Real Estate
Mr. Greer has been involved in the purchase and sale of real estate representing buyers in some transactions and representing sellers. He has drafted and negotiated complex commercial leases and medical office leases and facilities.
Health Care
Mr. Greer has served as a resource for the Health Care Practice Group by assisting health care clients developing and/or reviewing offices leases, equipment leases, office building development and/or acquisition and assisting in other financial matters including bank loans and issues of ownership. He has also been involved in the negotiation of purchase an owner’s interest in a health care practice.
Bankruptcy and Reorganization
Mr. Greer has been involved in bankruptcy cases representing secured as well as unsecured creditors. His representation includes all aspects of bankruptcy cases, including litigating issues involving claims, preference action, fraudulent conveyance actions, etc.
Mr. Greer earlier in his career represented debtors in personal bankruptcies and businesses in reorganization cases.
