Experience:

Bill Moss is a corporate and transactional attorney whose practice focuses on securities offerings, mergers and acquisitions, proxy fights and general corporate and securities matters. He represents issuers and investment banking firms in connection with public offerings and private placements of both equity and debt securities, including initial public offerings, shelf registrations, Rule 144A offerings, master limited partnership offerings and other private placements.

In addition, Bill represents both large and small companies in merger and acquisition transactions. He also provides ongoing advice to clients regarding general corporate and securities matters, including Exchange Act reporting and corporate governance.

Bill has been recognized as a "Texas Rising Star" by Texas Monthly and Law & Politics Magazine. Prior to joining Mayer Brown in 2005, he held a senior position with another prominent law firm. Earlier (1996-1997), Bill served as Law Clerk to The Honorable Royal Furgeson, US District Court for the Western District of Texas.

Mergers and Acquisitions

Halliburton Company - asset sale of surface well testing business in 22 foreign jurisdictions to First Reserve for approximately $133 million; asset disposition of flowmeter business to SCF Partners, Ltd., for approximately $33 million; stock disposition of MonoPumps business to National Oilwell, Inc., for approximately $85 million.

Dominion Resources Inc. - stock acquisition of natural gas processing plant and docking facility from The Williams Companies for approximately $250 million.

Dynegy, Inc. - acquisition of Northern Natural Gas Pipeline from Enron Corp as security for over $1 billion cash injection provided by Dynegy in the terminated Enron/Dynegy merger.

Marathon Oil Company - acquisition by merger of Globex Energy, Inc., owner of producing properties located primarily in Equatorial Guinea.

National Alarm Company, LLC - stock sale of alarm monitoring company to Chubb Security for approximately $47 million.

McDermott International, Inc. - sale of MENCK GmbH, a German company, to UWG Group, a British company, for approximately $18.5 million.

Securities Offerings

Stonemor Partners, LP - representation of Lehman Brothers in $75 million initial public offering of the first cemetery master limited partnership.

Energy Transfer Partners LP (formerly Heritage Propane Partners, LP) - representation of underwriters in $350 million master limited partnership equity offering to finance the acquisition of midstream gas pipeline assets of Energy Transfer; $200 million equity offering to finance an acquisition from TXU.

Dynegy Inc. - representation of various underwriters in offerings of approximately $1 billion of common stock and $300 million of debt securities.

Reliant Energy Inc. - $750 million transition bond offering to securitize stranded costs from the deregulation of electricity in Texas; $728 million pass through securities offering secured by generation assets in a 144A offering with an exchange offer.

Encore Acquisition Company - representation of Goldman Sachs in $100 million initial public offering.

SYSCO Corporation - representation of various underwriters in $200 million registered notes offering; $200 million 144A notes offering with an exchange offer; $200 million 144A notes offering without an exchange offer.

Illinois Power Company (a former Dynegy subsidiary) - representation of Merrill Lynch in $550 million 144A mortgage bond offering with an exchange offer.

Northern Offshore ASA - $340 million 144A notes offering with IPO exchange offer of a Norwegian drilling company.

Proxy Fights

Otter Creek Management Company - successful insurgent proxy fight to gain board control of Financial Management Companies, an insurance company in Austin.

ICO, Inc. - defense of the oilfield services company in a hostile proxy fight against Travis Street Partners Ltd.
