Experience:
Wayne Luepker advises clients on executive compensation matters. He has practiced in the employee benefits and executive compensation area full time at Mayer Brown for more than 27 years, and has chaired the ABA Subcommittee on Executive Compensation since 1999. He is a frequent speaker on executive compensation matters before professional associations and clients. In his role as ABA Executive Compensation chair, Wayne has worked closely with the IRS and others in government, as well as with attorneys at other firms, on the development of regulatory and other executive compensation rules. Wayne’s practice encompasses:
Executive Compensation and Employment. Nonqualified deferred compensation arrangements (including Section 409A); executive incentive compensation, including stock-based compensation (stock incentive arrangements, such as stock options and restricted stock) and related insider trading (Section 16) issues; executive compensation aspects of corporate transactions; change in control agreements (including rabbi trusts and golden parachute penalty tax matters); $1 million cap on deductible compensation; executive employment agreements and separation agreements; retention contracts, including golden handcuffs and stay bonuses; confidentiality and non-competition agreements and other restrictive covenants; and expatriate and cross-border compensation for executives.
Wayne has practiced at Mayer Brown since 1980. Previously (1979-1980), he was associated with another prominent law firm in Chicago.
