Mr. Gregg practices in the area of corporate and securities law, representing both private and publicly held companies in public and private securities offerings, mergers and acquisitions, venture capital financings, and general company representation. He also counsels both new and established public companies regarding their public reporting obligations, corporate governance matters and other issues related to their public company status, including compliance with the Sarbanes-Oxley Act and NYSE and NASDAQ listing standards. Represented Alabama National BanCorporation, a publicly owned bank holding company, in an underwritten, follow-on public offering of approximately $53 million of common stock. Represented a privately owned Top 100 healthcare IT company (as ranked by Healthcare Informatics in 2005) in financing transactions, including the private placement of $16 million of preferred stock in a rights offering led by a private equity fund. Represented the acquiror in a stock-for-stock merger of two publicly traded companies involving a registered exchange offer on Form S-4 of securities valued at over $100 million. Represented a multinational publicly-traded owner of hotel properties in its underwritten offering of $450 million of high yield debt pursuant to Rule 144A and subsequent Exxon Capital exchange offer. Represented an offshore oil and gas services company listed on the AIM Market of the London Stock Exchange in a going private transaction. Represented a publicly-held communications technology company in several private investment in public equity (PIPE) financings involving the private placement of preferred stock and other convertible securities and the subsequent registration for resale to the public of the underlying common stock. Represented a de novo state chartered bank in organization in connection with a $10 million state-registered public offering of equity securities. Negotiated an international joint venture between two electronics repair and maintenance service providers in connection with the offering of avionics repair and support services to certain European air forces. Assist and advise publicly owned companies in preparing periodic reports and other filings under the Securities Exchange Act of 1934. Counsel clients on corporate governance and public company disclosure in response to the Sarbanes-Oxley Act and related rulemaking by the SEC and the national securities exchanges. Prior To Maynard Cooper: Mr. Gregg practiced corporate and securities law in Washington, DC, first at Crowell & Moring and then at Latham & Watkins. Mr. Gregg's practice in Washington focused on corporate finance and federal securities law. Prior to entering law school, Mr. Gregg worked for the Foreign Affairs Committee and Congressman Robert Inglis in the United States House of Representatives and as a senior legal assistant for a Washington, DC law firm. Prior to his undergraduate work, Mr. Gregg graduated from Deerfield Academy in Deerfield, Massachusetts.
