Mr. Gallagher has over two decades of experience representing hedge funds, private equity firms, registered and unregistered investment advisers, financial institutions, finance companies, broker-dealers and investor groups in a wide array of M&A, equity and debt transactions, securities, corporate and regulatory matters. His practice is currently concentrated in the representation of hedge funds, private equity firms and other types of financial investment vehicles. Drawing on his many years of experience representing banks and other types of financial institutions in commercial loan and structured finance transactions, he routinely creates specialized lending and financial asset origination programs for U.S. and offshore hedge funds, institutional lenders and private investment funds. Mr. Gallagher has represented financial services companies, private equity firms and investors in numerous acquisitions of private and publicly-held companies as well as asset sales, recapitalization transactions and non-controlling stakeout investments, touching nearly every business sector, including financial services, banking, insurance, real estate, energy, technology and manufacturing. He also counsels hedge fund and other financial services clients on refinement of their regulatory compliance infrastructure and internal controls. From 1986 until 1987, at the height of the savings and loan crisis in the Southwest, he served as Assistant General Counsel of the Federal Home Loan Bank of Dallas, where he directed the regional banking agency’s legal division responsible for advising on regulatory compliance and on proposed recapitalization, liquidation and receivership transactions. Mr. Gallagher’s representation of his clients is enhanced by his own experience as a successful entrepreneur and seed capital investor. He co-founded a highly profitable specialty finance company in 1996, which he subsequently sold in 2002 at a significant premium to book value, and is currently an investor in and adviser to various early-stage companies and ventures, including a real estate focused lending fund sponsored by a prominent Canadian real estate developer and mall operator, an electronic payment solutions company and a Brazilian sugar-based ethanol and alternative fuels company. |
