Experience:

Theodore Livingston is a trial and appellate lawyer whose practice emphasizes telecommunications and complex regulatory, commercial and antitrust litigation. He has tried cases, conducted contested hearings, and handled appeals in federal and state courts and before regulatory agencies throughout the United States and Puerto Rico. Theodore was cited as a "Band One" lawyer in the Chambers USA Directory of America's Leading Business Lawyers and in Chambers Global Guide to the World's Leading Business Lawyers (2006), and the 2007 edition of Chambers USA describes him as a ". . . deep thinker and strong strategist . . .".

Theodore's recent telecommunications work includes service as lead counsel for AT&T Midwest (formerly Ameritech Corp.) in connection with all aspects of the Telecommunications Act of 1996, including representation in state regulatory proceedings, federal court litigation, appellate proceedings in various US courts of appeal and the US Supreme Court, and the Federal Communications Commission. Theodore has also served as lead trial counsel for AT&T Inc. and its operating subsidiaries in complex regulatory litigation in California, Nevada, Texas, Kansas and Arkansas. He has acted as lead trial counsel for SBC (now AT&T) and Bellsouth in telecom-related antitrust litigation and as trial counsel for AT&T and its operating subsidiaries in connection with issues relating to AT&T's Project Lightspeed initiative. In addition, he served as trial counsel for AT&T's operating subsidiaries in commercial litigation with other carriers and for SBC in state regulatory proceedings for approval of SBC's merger with AT&T.

Theodore has broad litigation experience in other areas of dispute, as well. These include bankruptcy; lender liability; lenders' rights; construction litigation; contract litigation; trade secret litigation; matters pertaining to the Uniform Commercial Code; and Lanham Act litigation. He joined Mayer Brown in 1973.

Notable Engagements:

Telecommunications. Lead trial counsel for Ameritech Corp. (now AT&T Midwest) in state commission arbitrations and related federal and state court litigation; lead trial counsel for SBC West and SBC Texas (now AT&T West and AT&T Texas) in complex regulatory litigation; lead trial counsel for SBC (now AT&T) and Bellsouth in telecom-related antitrust litigation.

Antitrust. Trial counsel for defendants in antitrust litigation under Sections 1 and 2 of the Sherman Act, Section 7 of the Clayton Act and the Robinson-Patman Act. Highlights include winning a jury verdict in a six-week attempted monopolization case; and serving as lead trial counsel and prevailing in a landmark telecom related antitrust case, Goldwasser v. Ameritech Corp. (7th Cir. 2000).

Product Liability/Mass Torts. Highlights include representing Dow Chemical in silicone breast implant litigation and Whirlpool Corp. in a high-profile dispute with a Japanese manufacturer involving refrigerator components.

Mergers, Acquisitions and Takeovers. Trial counsel for both target and acquiring companies in hostile takeover litigation and in stockholder litigation seeking to block change-of-control transactions. Highlights include prevailing against Union Pacific in litigation involving its hostile takeover efforts directed against Santa Fe Pacific Corp. and defending an injunction action brought by 18 plaintiffs' law firms seeking to block JMB's acquisition of Amfac (the largest private land owner in Hawaii).

Trial Counsel for Both Plaintiffs and Defendants in Major Malpractice Litigation. Highlights include winning a jury verdict in a three-month trial in federal district court in Wichita, Kansas, brought against a major accounting firm by the US Government for alleged audit malpractice in connection with the failure of a major savings and loan (the only such FDIC audit malpractice case to go to a jury verdict).

Securities Laws. Trial counsel in a variety of cases involving securities laws claims against accountants, issuers and lenders.

Natural Resources. Trial counsel in complex litigation involving oil and gas and uranium. Highlights include significant victories for a major gas pipeline in take-or-pay litigation and successfully representing a major uranium producer in antitrust litigation brought by Westinghouse.

Breach of Contract/Business Torts. Lead trial counsel for a variety of plaintiffs and defendants, including Illinois Tool Works, MidCon Corp., Occidental Petroleum, General Dynamics and General Electric, in litigation involving contract and business tort claims. Highlights include arguing (and winning) an appeal in the Delaware Supreme Court in a case involving a $100 million claim against Illinois Tool Works.

Emergency Litigation. Trial counsel for both plaintiffs and defendants in connection with motions for temporary restraining orders in many state and federal courts, including courts in California, Utah, Illinois, Wisconsin, Michigan and Delaware.
