Terri L. Adler is a partner in the Transactional Department. Ms. Adler has a wide range of expertise in all areas of real estate practice including acquisitions, leasing, development, dispositions, financings, condominium conversions, subdivisions and workouts. During the course of her career, Ms. Adler has acted as counsel to both institutional and non-institutional clients in all capacities relating to hotel, office, telecom, retail, residential and other commercial properties. Examples include the acquisition and financing of The Hotel George in Washington, D.C., the acquisition, financing and structuring of a 23 property multi-family residential portfolio in multiple jurisdictions and the sale of three separate office buildings in Long Island City, New York for a cumulative sale price in excess of $150,000,000. In addition to her substantial knowledge in real estate, Ms. Adler has particular expertise in structuring and negotiating complicated joint venture transactions involving issues ranging from control, removal rights and buy-out mechanisms to preferred equity and mezzanine debt. Ms. Adler developed this expertise while working on real estate and corporate transactions involving bankruptcy, environmental, operational and other concerns. Examples of some recent transactions include the structuring and negotiation of joint venture documentation in connection with the acquisition of a $500 million nursing home portfolio, the structuring and negotiation of joint venture documentation in connection with the acquisition of a crumb rubber facility and the structuring, acquisition, and financing of the Montgomery Ward complex in Chicago, the Wanamaker Building in Philadelphia, and the restructuring and sale of interests in the Chelsea Market Building in New York for a price in excess of $280,000,000. As a result of her extensive experience, Ms. Adler is able to address not only the real estate aspects of a particular transaction, but also the unique needs of clients in their equity negotiations with partners and investors.
