Steve is a partner in Faegre & Benson's investment management practice. Steve focuses on the representation of SEC-registered investment advisers and investment companies (mutual funds). Steve's clients include large multi-office, multi-product institutional advisory firms, specialized investment advisory firms and advisers to private investment funds. Steve routinely counsels clients on regulatory matters, including advertising, distribution, advisory agreements, trading practices, use of client commissions ("soft dollars"), disclosures and regulatory examinations. A substantial part of Steve's practice is dedicated to compliance matters, including risk assessments, gap analyses, the drafting or refining of compliance programs and the annual compliance program review process. Steve also provides legal services to mutual funds and their boards of directors.
Prior to re-joining Faegre & Benson, Steve served as a senior vice president and general counsel to U.S. Bank N.A.'s investment management division. In this capacity, he managed the in-house legal department and worked closely with the Board of Directors of the Bank's mutual fund family. Steve also had management responsibility for the investment manager's compliance department and for the Bank's government relations department.
From 1992 to 2001, Steve worked in various legal and business capacities, most recently as chief legal officer and director of business relations with Investment Advisers, Inc., an institutional investment management firm, and its affiliated mutual fund family. While at IAI, Steve also served as secretary to and a director of IAI Trust Company.
