Stephen G. Stroup is counsel in the firm’s Commercial Litigation Practice Group. He concentrates his practice on SEC enforcement action defense and commercial disputes. Steve has experience handling Securities and Exchange Commission (SEC) regulatory investigations and enforcement actions, as well as private securities litigation. He has also worked on various insurance insolvency and employment law-related matters.
Steve is both a Certified Public Accountant and a Certified Fraud Examiner with six years of experience in the accounting and auditing profession. Prior to entering private practice, he served as a judicial law clerk to the Honorable Joseph D. O'Keefe in the Court of Common Pleas, Philadelphia County.
Steve is the author of several featured articles examining securities industry developments, including "Revamping Section 806 of Sarbanes-Oxley," published in the Summer 2007 edition of the Pennsylvania CPA Journal. His other recent published works include "Audit Committees in the Sarbanes-Oxley Era," from the June 2006 edition of The White Collar Crime Fighter, and "Risky Business? Personal Liability of Outside Directors Inside a Corporate Insolvency" from the September 2005 edition of Mealey's Litigation Report: Insurance Insolvency.
Steve defended a director of a now defunct major publicly traded company and the chief financial officer of an active publicly traded company in class action securities cases, as well as a managing partner of a national public accounting firm in a Public Company Accounting Oversight Board (PCAOB) investigation. He has recently represented a "Big Four" accounting firm partner and a hedge fund managing partner in SEC securities fraud enforcement actions, and a mutual fund manager in an SEC regulatory investigation. Steve has also prosecuted breach of contract and state securities fraud claims for an insolvent insurer against an international investment advisory firm.
In General. While attending Widener University School of Law, Steve was on the editorial board of The Delaware Journal of Corporate Law. He is a member of the American, Pennsylvania and Philadelphia Bar Associations. He is also a national director for the American Association of Attorney-Certified Public Accountants, a member of the American Institute of Certified Public Accountants, and a member of the Association of Certified Fraud Examiners. |
