She represents regional and national companies in all aspects of general corporate work, including stockholder agreements, employment matters, joint ventures, acquisitions, stock and asset transactions, and private equity and debt financings. Commercial real estate matters on which Stephanie advises include leasing, acquisitions, sales and lending. She represents commercial property owners, and advises both landlords and tenants in commercial lease negotiations. In the technology area, Stephanie has experience in drafting and negotiating technology related agreements, such as product and technology licensing, VAR, ASP and development contracts. She also advises e-commerce clients on the regulation of electronic transactions and payment products. Tax law is another emphasis for Stephanie’s clients. She advises a wide range of nonprofit organizations, including public charities and trade associations, on tax exemption issues. She has successfully assisted many nonprofit clients in obtaining tax exempt status and has advised long-standing exempt organizations on issues of strategic combinations and organizational restructuring. She also has expertise in state unclaimed property law.
