Mr. Weinberger's practice focuses primarily on counseling owners of closely held businesses in a variety of industries and providing legal services for planning, negotiating and documenting transactions and operating issues with which privately owned businesses are faced. Mr. Weinberger also has experience in negotiating and documenting purchases and sales of entire private businesses and of equity interests in private business entities.
Mr. Weinberger has extensive knowledge of the laws of corporations, partnerships and limited liability companies, particularly concerning the business and legal relationships of multiple owners of these entities, often including members of the same family in the same or successive generations.
Experience
Leading the planning, including tax planning, and consummation of the restructuring of an S corporation originally owned by an individual to include voting and non-voting stock now partially owned by key employees and a second generation of non-management family members.
Negotiating and drafting buy-sell agreements among passive shareholders and shareholder-employees.
Drafting voting trust agreements in connection with strategies for preservation of control of private entities.
Non-competition agreements; non-disclosure agreements and non-solicitation of employee agreements.
Employment agreements, including employment agreements for shareholder-employees.
In addition, Mr. Weinberger has deep experience in real estate, health care and financing matters, as well as knowledge of human resource issues, including compensation agreements, and trade secret and trademark protection issues. Also, Mr. Weinberger has experience in business litigation, estate planning and not-for-profit entities. He is thus able to work effectively with Dykema's experts in these, as well as other areas of the firm's practice.
Mr. Weinberger has previously served as a director of North Shore Community Bank and Trust Company, Wilmette, Illinois, and is presently a director of Wayne Hummer Wealth Management and Trust Companies, Chicago, Illinois.
