Shaun F. Carrick represents a variety of national, regional, state and local banks, financial institutions, and public and private lenders, investors and syndicators (including DUS lenders), principally in the areas of affordable housing, community development (including neighborhood revitalization, economic development, community health centers and charter schools), commercial, health care and real estate finance, including: (1) revolving credit, term loan, capital expenditure and letter of credit facilities; (2) tax-exempt and taxable public finance transactions, including letters of credit and other forms of credit enhancement; (3) syndicated and agented credits (both representing agents, lead banks and co-lenders); (4) leveraged buy-out transactions; (5) complex senior, subordinated and mezzanine debt and equity transactions; (6) traditional accounts receivable and inventory financing; (7) equity participations and public debt offerings; (8) restructurings and loan work-outs (including debtor-in-possession financings); (9) loan, lease and asset securitizations and; (10) acquisition, construction, permanent and other real estate financings. He has extensive experience in loan work-outs, troubled credits, restructurings, foreclosure matters, work-out and collection strategies and tactics. His work in the securitization arena has included acting as primary counsel for a national bank’s healthcare finance securitization program (which required understanding and working with rating agencies and ensuring loans included in the securitization met rating agency and investor requirements), experience with non-consolidation and true sale opinions, and acting as counsel for a national bank’s investment in a government contract lease and asset securitization trust offered by a prominent financial intermediary. A significant portion of Mr. Carrick’s practice encompasses housing and community development matters. Due to his extensive experience, Mr. Carrick chairs the firm’s Housing and Community Development Practice Group. Mr. Carrick has handled a variety of acquisition, rehabilitation and construction loans for affordable housing transactions with a variety of funding sources, including state and federal loans, subsidies and grants, FHA insurance, GNMA guaranteed securities, Fannie Mae & Freddie Mac credit enhancement, federal low-income housing tax credits, state and federal historic tax credits, new market tax credits and a variety of other public and private loans, subsidies and grants. Mr. Carrick is a member of the firm’s Diversity Committee. He is a graduate of the College of William and Mary (B.A., Honorary societies for Economics and Political Science, 1979), and the Marshall-Wythe School of Law, College of William and Mary (J.D. 1982) where he was a member of the Order of the Coif; was a recipient of the Am-Jur book awards for Commercial Law and Torts, and was a member of the William & Mary Law Review.
