Experience:
Seth Weinberger is an experienced transactional attorney and corporate advisor whose practice focuses primarily on matters relating to information technology and other high-tech ventures, including e-business arrangements, business restructurings and investments.
Information technology transactions are a major focus of Seth's IT counseling. He structures outsourcing agreements, including those that involve applications and development, voice and data management, business processes, desktop and mainframe computers, and help desk and support services. His transactional work also involves creating and documenting global technology alliances, licensing agreements for software, biotechnology and other applications, and software and system development agreements. Seth handles additional transactional matters relating to custom computer hardware, software and system contracts, software escrow agreements, and distribution agreements.
Seth represents Internet and technology companies in their e-business arrangements, and also advises Fortune 500 companies on e?business joint ventures and investments in e-business companies. His clients are often business-to-business consortia, including leading global corporations in the aviation, chemical, and steel industries. He advises them and other clients on strategic alliance agreements, and web hosting and other e-commerce agreements.
There is a strong technology component to much of Seth's other corporate and transactional work. He represents venture capital firms, corporations making venture capital investments, and companies seeking private equity or venture capital funding in various industries, including information technology, telecommunications, and biotechnology. Other financing transactions on which he advises include securities offerings and related private placements with investment and venture capital funds. Seth also assists clients with mergers and acquisitions, tender offers, stock and asset purchases, leveraged buy-outs, management buy-outs, and joint ventures.
In its 2008 edition, Chambers USA described Seth as ". . . professional and skilled." Earlier (2007), Chambers' editors noted that his ". . . 'terrific business sense' attracts clients who hired him to work on such issues as global alliances in connection with their technology requirements. . . . [Seth's] 'even-handed, collaborative approach facilitates consensus among differing views' . . . 'a great person with high ethical standards' . . .".
Seth joined Mayer Brown in 1982. Previously, he worked with another law firm in Morristown, New Jersey.

Star Alliance - Lead a global effort to create a common information technology system for the airlines of the Star Alliance.
Elemica - Spearheaded a global legal team in the creation of the chemical industry's leading B2B consortia. Coordinated the in-house legal teams of eight of the world's largest chemical companies in the multi-year capitalization of Elemica. After formation, led the negotiation of all technology and e-commerce agreements. Continue to represent Elemica in acquisitions, joint ventures and strategic alliances.
United Airlines - Represent United in various ongoing IT and e-commerce projects, including the corporate restructuring of its Mileage Plus program and the outsourcing of call center, desktop and network services.
University of Chicago - Represented the University in various technology transfer transactions and in the spin-off of its venture capital investments.
Yahoo! - Represented Yahoo! in the sale of its Warped Tour subsidiary. Represented a Yahoo! subsidiary in various corporate and e-commerce ventures.
