Rob has handled transactions that involve the acquisition of stock or assets of U.S. companies on behalf of German firms in industries such as chemicals, pharmaceuticals, cosmetics, fashion, publishing, software, metals and precision machinery. He frequently structures and negotiates joint ventures, long-term licenses, supply agreements and other contracts. Rob also counsels the families that own these businesses.
Among the representative transactions Rob has handled for his clients, he has:
Represented a German DAX-listed company in the negotiation, documentation and closing of the purchase of assets of a large U.S. chemical company. The closing occurred in 12 time zones.
Advised a large German pharmaceutical company in the joint development and marketing of several new drugs.
Represented a large German conglomerate in the purchase of the assets of one of the oldest metals companies in the United States.
Advised the family-held German maker of excipients in the purchase of a major division of a publicly traded U.S. company in an auction.
Served as general counsel for numerous U.S. subsidiaries of German, Swiss, Austrian and Italian companies, some for more than 20 years.
In addition to his education in the United States, Rob studied twice in Germany, at the universities in Munich and Frankfurt. He practiced with two leading Frankfurt law firms, now known as Clifford Chance and Lovells.
Rob edited The Legal Climate for Foreign Direct Investment in the United States (Georgetown University Press), has written numerous articles for foreign lawyers and businessmen, and has lectured at New York University Law School.
