AREAS OF PRACTICE Bankruptcy, Reorganization and Creditor’s Rights Energy Litigation - Commercial Rosa Rodriguez Orenstein, an AV rated lawyer, specializes in bankruptcy, creditors' rights, workouts and commercial transactions. She has practiced in these areas for approximately twenty-five (25) years. In that time she has been involved in a wide range of bankruptcy, workout and commercial cases relating to all types of assets. As a partner at Gardere & Wynne, Ms. Orenstein consummated major multimillion dollar Chapter 11 plans of reorganization, and successfully defended lender clients against equitable subordination multimillion dollar claims. Ms. Orenstein's experience includes acting as counsel to debtors, trustees, secured and unsecured creditors, equity holders committees, unsecured creditors committees and purchasers of assets from bankruptcy estates. Equally important, she has considerable experience as a courtroom advocate including jury trial experience in fraudulent conveyance cases. Ms. Orenstein has been involved in several published cases, including Southmark v. Marley (62 F. 3rd 104), in which she successfully represented a former officer and director of Southmark Corporation against preferential transfer claims alleged by Southmark. The favorable decision obtained by Ms. Orenstein was upheld by the Federal District Court, the Fifth Circuit Court of Appeals and the United States Supreme Court. REPRESENTATIVE EXPERIENCE Dallas - Fort Worth International Airport - Represents Dallas - Fort Worth International Airport in connection with airline and service provider bankruptcies affecting the airport. Dallas Area Rapid Transit - Represented Dallas Area Rapid Transit in the United Artists bankruptcy case and has also assisted DART in general contract disagreements with various contractors, including restructuring agreements to achieve DART’s objectives. In addition, Ms. Orenstein previously prosecuted Dallas Area Rapid Transit's claims and interests in the Greyhound Lines, Inc. (and its various subsidiaries) bankruptcy case, recouping almost $2.0 million dollars. HQ Global Workplaces, Inc. - Represents HQ Global Workplaces, Inc., a worldwide provider of office space and ancillary office services, in connection with the bankruptcies of HQ Global's clients. JPMorgan Chase Bank - Represented JPMorgan Chase Bank in connection with its collection efforts against various debtors. Also represented Chase Manhattan Bank and Texas Commerce Bank in connection with loan workouts and collection efforts. KLT Gas, Inc. - Represented KLT Gas, Inc. in its purchase of $18 million dollars worth of energy assets in the Rand Energy bankruptcy case. Wells Fargo Bank (Texas), N.A. - Represented the interests of Wells Fargo Bank (Texas), N.A. and its affiliates in the Zenith and Advanced Radio Telecom bankruptcy cases.
