Description of Practice:
Roberta has over thirty years of experience as both outside and inside legal counsel and a senior executive for a wide range of businesses, ranging from mature Fortune 100 public companies to new ventures, as well as two periods of government service, focusing on general business and corporate law, securities, aviation and business aircraft, and labor and employment law. She also serves as a mediator, supporting transactions and resolving disputes involving corporate, commercial, and employment matters. This range of experience, combined with the balanced perspective of having been both legal advisor and client, enable her to craft practical, innovative, and thoughtful solutions to complex business problems appropriately and in real time. Her practice includes:
Business Organizations: Structure and organize various forms of business entity, corporate governance, and corporate control disputes
Aviation and Business Aircraft: Purchase, sale, lease and fractional ownership of aircraft, like-kind exchange transactions, critical corporate, tax, operating and regulatory issues involved in owning, operating, managing and/or chartering general aviation aircraft, operating and hangar leases, FBO operating leases, liability protections, financing arrangements, and various operating, service and franchise agreements related to aircraft ownership, management and charter
Mergers, Acquisitions, Divestitures, and Commercial Transactions: Purchase and sale of companies, divisions, property, and technology; and negotiate and prepare transaction and financing documents and licensing agreements
Employment and Labor Law: Advise and represent management in the full range of employment and labor issues, including executive employment and compensation arrangements, stock option and other equity plans, terminations, policies and manuals, discrimination, workplace safety, regulatory compliance, and labor agreements, grievances and arbitrations.
Educational History:
Roberta received her B.A. with honors in History from Jackson College (Tufts University), her J.D. from New York University School of Law, and an advanced diploma in graduate legal studies from the University of Stockholm (Sweden). She is also a trained mediator of commercial and employment disputes. |
