Robert Mullen Biography :

Robert W. Mullen, Jr. is a partner in the New York office of Milbank, Tweed, Hadley & McCloy LLP. He has been a partner at the Firm since 1989 and joined the Firm as an associate in 1980.

Mr. Mullen has extensive experience in international and domestic offerings of various types of securities, including equities, convertibles, American Depositary Receipts, Rule 144A/Regulation S securities and investment grade and high-yield debt securities, and in representing issuers on disclosure issues, general corporate matters and Sarbanes-Oxley compliance. Mr. Mullen also has significant experience in international and domestic corporate transactions, including cross-border mergers and acquisitions, joint ventures, restructurings and buyouts.

Mr. Mullen has represented Nippon Telegraph and Telephone Corporation in all of its securities offerings and SEC reporting and Sarbanes-Oxley compliance and in connection with the issuance by NTT DoCoMo of common stock in one of the largest IPOs ever. Mr. Mullen also represented Compañía Anónima Nacional Teléfonos de Venezuela (CANTV) in its IPO transaction, identified as "Deal of the Decade" in Latin America by Euromoney, and in subsequent corporate matters, including representing CANTV in the successful defeat of a hostile takeover attempt by AES Corporation. Mr. Mullen also acts as designated underwriters' counsel for Verizon Communications Inc. and Verizon Wireless, the largest domestic telecom and wireless operators in the United States.

Mr. Mullen recently represented the International Securities Exchange, the world's largest equity options exchange, in its NYSE-listed IPO. Mr. Mullen also represented Scottish Power plc in its listing of ADRs on the NYSE and in its acquisition and sale of Pacificorp.

Mr. Mullen has represented major investment banks, including Banc of America, Citigroup, JPMorgan Chase, CSFB, Deutsche Bank, Goldman Sachs, Lehman Brothers, Merrill Lynch, Morgan Stanley and others in offerings by numerous issuers, including electric utilities (e.g., Aquila, Westar Energy, Kansas Gas and Electric, DQE, Texas-New Mexico Power), banks and financial institutions (e.g. Silicon Valley Bancshares, Bank of New York, UBS, Banque Indosuez), and other general corporate clients (e.g. McDonald's Corporation, Rite Aid Corporation).

Mr. Mullen regularly represents the Government of Canada in its U.S. securities offerings, together with its crown corporations Export Development Canada and Canada Mortgage and Housing Corporation. Mr. Mullen also represents the Government of Bermuda in its securities offerings.

Additional corporate representations include clients such as Cisco Systems, Banco Itau, HBOS-Bank of Scotland, Chilquinta, Republic of Uruguay, Rede Brasil Sul, Central Costanera, Central Puerto, MC Shipping and Novelis.

Mr. Mullen was recognized as one of the top 25 capital markets attorneys in New York in Practical Law Company's publication Which Lawyer Yearbook 2006. In 2007 he was recommended for his work with debt capital markets by PLC Which Lawyer?

Mr. Mullen has been published in various publications, including International Financial Law Review and University of Pennsylvania Journal of International Business Law, and has been quoted by numerous journals, including Euromoney and The Financial Times.

Mr. Mullen received his B.A., cum laude, from the University of Pennsylvania and his J.D. from Fordham University School of Law, where he was a member of the Fordham Law Review and was awarded the Senior Prize for the highest grade point average of his class. He is a member of the American Bar Association and the New York State Bar Association.
