Rita Thomas is vice president, corporate counsel and assistant secretary for Agilysys, Inc. Agilysys is a leading provider of innovative IT solutions to the corporate and public sectors, with special expertise in select vertical markets, including hospitality and retail. The company uses technology including hardware, software and services to help customers resolve their most complicated IT needs. Additionally, Agilysys possesses expertise in enterprise architecture and high availability, infrastructure optimization, storage and resource management, and business continuity; and provides industry-specific software, services and expertise to the hospitality and retail markets.
Ms. Thomas, who reports to Martin Ellis, executive vice president, treasurer and chief financial officer, is responsible for overseeing the legal department and interfacing with the Agilysys board of directors and executive management on matters such as corporate governance and compliance, as well as coordinating and tending to the Securities and Exchange Commission (SEC) compliance. She also manages the company’s litigation, provides guidance on employment matters and competitive issues and supports the company’s supplier relationships.
Ms. Thomas joined Agilysys in 2000 as general counsel for the Computer Systems Division. Prior to joining Agilysys she was senior legal counsel for the PRS Group of Companies, responsible for managing the legal function and providing general in-house legal representation. Ms. Thomas has also worked as in-house counsel for R.O.S.S. Corp. providing transactional legal support to hazardous waste treatment and transportation companies.
Ms. Thomas is admitted to practice law in Ohio and Texas and is a member of the Ohio Bar Association, the State Bar of Texas, the Association of Corporate Counsel and the Society for Corporate Secretaries and Governance Professionals. She received her Juris Doctorate from The Ohio State University Moritz College of Law and her Bachelor of Arts degree from the University of Akron. |
