Richard Keenan Biography :

Dick Keenan is a litigation partner in FLK's San Francisco office. For over 30 years, he has successfully represented clients in a broad variety of complex commercial disputes, drawing on his accounting and business background.

Mr. Keenan has substantial experience in federal and state court litigation, arbitration and internal and governmental investigations. He has litigated for clients both as plaintiffs and defendants in disputes involving breach of contract, real property and tax matters, intellectual property, securities fraud, including class actions, environmental torts, bankruptcy claims, trusts and estates and letter of credit and other financial services.

Representation of clients in internal investigations and SEC investigations.

Granite Management Corporation v. United States, Court of Federal Claims Washington, D.C. Representation of a Ford Motor Company subsidiary in a $130 Million breach of contract "Winstar" litigation against the United States government arising from the purchase of savings and loan institutions.

Cardiac Telecom v. CardioNet, U.S. District Court, Pittsburgh, Pennsylvania. Defense of CardioNet, a heart monitoring company, in patent litigation core to its business.

In re: Northpoint Communications Group, Inc., U.S. Bankruptcy Court, No. Dist. Cal., Representation of bankruptcy trustee as special litigation counsel in defending an administrative claim by the California State Board of Equalization seeking $6.5 Million payment of sales taxes and interest.

Valjean Manufacturing v. MWI, U.S. District Court, Southern District of New York. Representation of Martin Gruber (a world-renowned high-end jewelry designer) and his company, Valjean Manufacturing, Inc., in a breach of contract and fraud litigation arising out of the mishandling of monies during the course of a ten-year relationship with the defendant.

Pacific Bay Homes, LLC v. Robinson Golf Holdings, LLC, Superior Court of California, County of Orange Defense of partners sued for breach of fiduciary duty claims arising out of partnership to finance and develop a residential development and two 18-hole golf courses.

Price Hoffman v. Per Sé, Tampa, Florida. Representation of Per Sé Technologies, the largest medical billing company operating in the United States, in an arbitration brought by a medical practice over breach of contract claims involving billing of over 800,000 charges over an eight year period.

Southampton Company Toxic Tort Litigation, Solano County Superior Court California. Defense of a bank and real estate developer against claims of personal injury for exposure and emotional distress and for future medical monitoring, fraud and diminution in property values involving over 300 separate individual personal injury claims and 100 separate property claims arising out of the development of homes adjacent to a former waste disposal site.

Aronson v. McKesson HBOC, U.S. District Court, San Jose, California and related cases. Representation of the outside directors of McKesson HBOC, Inc. in federal securities class actions arising out of McKesson HBOC's restatement of its earnings following the merger of McKesson and HBOC, including related ERISA and Delaware derivative cases.

G&L Realty Partnership, LP v. McNeil et al, Superior Court of California, County of San Luis Obispo. Representation of venture capital partnerships sued on alter ego basis for losses on loans made by plaintiff to a portfolio company and dispute over competing bankruptcy claims.

Kail v. CardioNet et al, Superior Court of California, County of San Diego, Representation of medical device start-up company, directors and officers in suit filed by founders over control issues.

Ralin Medical v. LaSalle Bank, Cook County Circuit Court, Chicago, Illinois. Prosecution of claims on behalf of beneficiary for dishonor of an $8 million standby letter of credit received in business sale and related bankruptcy claims.

Stanislaus County v. Post-Newsweek Cable, Inc., Stanislaus County Superior Court, California. Representation of Post-Newsweek Cable in trials before the Stanislaus County and Sonoma County Assessment Appeals Boards challenging over assessments of a cable television possessory interest tax on franchises to provide cable television service and related appeals before the California Court of Appeal.

Pellegrini v. Consolidated Enterprises, Superior Court of California, County of San Francisco. Representation of a wholesale distributor in an antitrust action a conspiracy to monopolize the distribution of alcoholic beverage products by, among other things, engineering the termination of another distributor.

Pesce v. Norcal Solid Waste Systems, Inc., Superior Court of California, County of San Mateo. Representation of Chase Securities, Inc. in a state court shareholder class action arising out of the merger of Chase's client Envirocal into NORCAL Solid Waste Systems, Inc. (now Waste Management, Inc.) and NORCAL's subsequent default on obligations to its shareholders.

FMC v. Teledyne, U.S. District Court, Northern District of California. Defense of Teledyne and an employee in a suit seeking an injunction for alleged interference in a competition to develop prototype for the United States Army.

Teledyne v. The Deutsch Company, U.S. District Court, Central District of California. Defense of the Deutsch Company in an antitrust action in which plaintiff Teledyne alleged that Deutsche, by attaining 90% market share in the sales of a mechanical aerospace fastening product, had illegally monopolized the market, breached certain contracts and violated certain patent rights.

Education

Mr. Keenan graduated from the University of Notre Dame (B.B.A., summa cum laude, 1974) and Yale Law School (J.D., 1977). Following law school, he clerked for Judge William W Schwarzer, United States District Court for the Northern District of California.
