Dick is a member of the firm's Corporate and Business Practice Group. He has extensive experience in securities law, mergers and acquisitions, complex contract negotiations and other business law areas. He is lead outside counsel to public and closely-held companies. He has frequently served as special counsel to the board of directors or special board committees for companies involved in significant corporate transactions or facing sensitive corporate governance issues. Dick is also experienced in other corporate transactions including: Venture capital financing Spin-offs Proxy contests Tender offers Joint ventures Although Dick counsels companies in a variety of industries, he has developed particular knowledge regarding the business and legal issues affecting the telecommunications industry. After graduation from law school, he was a law clerk to Judge Thomas E. Fairchild on the U.S. Court of Appeals. |
