Experience:

Raniero D'Aversa, Jr. is a firm Practice Leader and the co-Chair of Mayer Brown's Financial Restructuring and Bankruptcy Practice. Ron has in-depth experience and is regarded as a leading practitioner representing clients involved in bankruptcies, out-of-court restructurings, and creditors' rights controversies. In those contexts, he provides comprehensive legal guidance to DIP lenders, secured lenders and bank groups, investment banks, hedge funds, and other financial institution creditors in bankruptcies, workouts, restructurings, liquidations, distressed debt transactions, and acquisitions.

Clients seek Ron's counsel across a broad spectrum of bankruptcy- and restructuring-related issues, including:

Senior Syndicated Loan Bankruptcies and Workouts. Represents leading financial institutions as agents or lenders in workouts and bankruptcies involving syndicated senior loan facilities.

D-I-P Loans and Out-of-Court Restructurings. Negotiates and documents loan and corporate restructurings, debtor-in-possession (DIP) loan facilities and exit facilities.

Bankruptcy Litigation. Advises secured creditors and debtor-in-possession lenders on avoidance action defense, distressed-debt trading, lender liability defense, lift stay and foreclosure litigation and case conversation/dismissal litigation.

Acquisitions. Represents acquirers of financially distressed company assets.

Derivatives. Represents various parties in structuring and addressing bankruptcy aspects of derivative contracts, such as swaps, repurchase agreements, securities contracts, forward contracts, and commodities contracts; counsels clients on the application of the automatic stay and the ability to terminate and setoff post petition and exception from avoidance powers; and represents lenders in restructurings of swap exposure to distressed or bankrupt counterparties.

Structured Finance. Represents various parties in structuring and addressing bankruptcy aspects of securitization transactions, including advice on true sale and non-consolidation issues.

Distressed Debt Trading. Represents numerous large institutional buyers and sellers of distressed loans and regularly counsels members of the Loan Syndication and Trading Association with respect to debt trading issues.

Unsecured Creditors' Committees. Has represented creditors and unofficial creditors' committees in numerous bankruptcies and/or restructurings of computer equipment and data product businesses, and has defended suppliers in numerous cases involving avoidance actions and reclamation disputes.

Ron joined Mayer Brown in 1993. Previously, he was associated with another major law firm in New York City.

Recent Syndicated Loan Workouts: represented ABN Amro Bank NV, The Bank of Nova Scotia, Bank of America, Bank of Montreal, LaSalle Bank, and Toronto-Dominion Bank as agents or lenders in workouts and bankruptcies involving syndicated senior loan facilities.

Recent Bankruptcy Cases: represented prepetition Agent and/or D-I-P Agent in the bankruptcy cases of: Ritchie Risk-Linked Strategies, Sea Containers, New Century Financial, Desert Power, M. Fabrikant & Sons, Star Diamond Group, W.B. David, L.I.D. Group, Boyds Collection, Enesco Group, Inc., Malden Mills, Tokheim Corporation, The Loewen Group, Singer Sewing Company, Prime Succession I and Prime Succession II, AlphaStar Television Network, Global Information Technologies, Great Lakes, Inc., International Wireless Communications Holding, and Enron.

Diamond and Precious Metal Bankruptcies: represented secured lenders in domestic and cross-border diamond and jewelry bankruptcy cases, including M. Fabrikant & Sons, L.I.D. Group, Star Diamond Group, and W.B. David.

Aviation Restructurings and Bankruptcies: represented agents, lenders and other financing parties in domestic leveraged leases, cross-border leases, EETCs, liquidity facilities and mortgage indentures in the US Air I, US Air II, United Airlines, Northwest Airlines, Delta Airlines, and Atlas Air bankruptcies, and in the out-of-court restructurings of a major US commercial airline and the nation's largest domestic cargo carrier.

Project Finance Restructurings: represented agents in restructuring of project facility with Permaclear and Wellman, Inc. Represented project lenders in bankruptcies of Desert Power, Gen Holdings (PG&E National Energy group), and Ponderosa Pine Energy Partners. Represented swap issuers in restructurings of the Granite Ridge Energy, llc project facility and the Marianas Energy project facility.

Synthetic Lease Bankruptcies: represented synthetic lessors in Mariner Post-Acute Network and The Washington Group International bankruptcy cases.

Recent Restructurings: represented agents in restructurings of: $350 million syndicated loan to a Mexican telecommunications provider; $100 million syndicated loan to medical equipment supplier; loans to charged-off receivables portfolios; and syndicated loans to domestic wireless provider, metals refinery, and airline catering business. Represented lenders in peaceful possession and surrender of diamond wholesaler. Represented significant lenders and derivative counterparties in recent restructurings of Xerox, Huntsman, Foster-Wheeler, NRG Energy, and Dynegy.

Creditors' Committees: represented the Official Committees of Unsecured Creditors in the Chapter 11 cases of Spectrum Information Technologies, Inc., Arbor Computers, Fulton Computer Products and Programming Ltd., Advanced Interlink, and Alexander Doll Company, Inc.

Debtor Representations: prior to joining Mayer Brown, represented debtors in large and complex Chapter 11 cases, including LTV Steel Corporation, Hills Department Stores, Hillsborough Holdings Corporation, Laventhol & Horwath, Insilco Corporation, and US Home Corporation.
