Description of Practice:
Phil is an associate in our Orange County office where his practice has focused on assisting emerging companies through their growth cycles. Phil represents companies in connection with preferred stock financings, bridge loan financings and mergers and acquisitions. He also provides day-to-day support with respect to employment agreements, consulting agreement, separation agreements and stock option plans. Phil has extensive experience advising founders on choice of entity and setting up new companies including limited liability companies, S-corporations, C-corporations, and owners associations.
In addition to his work with emerging companies, Phil provides valuable support to the Technology and Intellectual Property Practice Group. Phil's rare mix of experiences as an engineer, registered patent attorney and corporate attorney allow him to provide valuable insight to technology transfer, licensing and distribution transactions.

Datallegro, Inc. - represented company in Series A Preferred Stock financing and Series B Preferred Stock financing;
Avamar Technologies, Inc. - represented company in Series E Preferred Stock financing and its acquisition by EMC Corporation;
u-NAV Microelectronics Corporation - represented company in Series D Preferred Stock financing, follow-on Series D Preferred Stock financing, Bridge Loan financing, and recapitalization; and
Xdrive, Inc. - represented target in acquisition by AOL.

General Atomics - preparation of Manufacturing and Royalty Agreement, Cooperative Agreement, and Purchase of Goods Master Agreement; standardization of Sales Terms and Conditions;
Overland Storage, Inc. - preparation of OEM Purchase Agreement for components used in an electronic data storage appliance; evaluation of parties' rights in connection with the termination of purchase orders under a Manufacturing Service Agreement;
Indymac Bank - preparation of Outsourcing Agreement for mortgage loan servicing;
Plaxo, Inc. - preparation of Production and Cooperative Marketing Agreement;
Datallegro, Inc. - preparation of form License and Software Support Agreement for an electronic data storage appliance; and
SuperFoodsRx - preparation of Teaming Agreement in connection with celebrity endorsement contract.

Prior to entering law school, Phil worked as a Project Engineer for six and one-half years in the aircraft, racecar and medical device manufacturing industries. He is a licensed Professional Mechanical Engineer.
Phil is a member of the State Bar of California and is licensed to practice before the United States Patent and Trademark Office. Phil is also a member of the American Bar Association, and the Business & Corporate Law and Intellectual Property & Technology Law Sections of the Orange County Bar Association.
Educational History:
Mr. Schroeder received his B.S. in Mechanical Engineering from Columbia University and his M.S. in Mechanical Engineering from the University of California, Irvine. He received his J.D. from Loyola Law School, cum laude. |
