Peter L. Faber is Senior Counsel in the law firm of McDermott Will & Emery LLP based in the New York office. He is a member of the Firm’s Tax Department. Peter’s practice focuses on corporate and business tax planning and controversy work at the federal, state and local levels.
In the federal tax area, Peter has advised corporations (both publicly held and privately held), partnerships and individuals on a wide variety of transactions, including mergers and acquisitions, restructurings, spin-offs and debt work-outs. He has obtained many rulings from the Internal Revenue Service with respect to proposed transactions. He has represented tax-exempt organizations in Coordinated Examination Program Internal Revenue Service (IRS) audits and in connection with joint ventures, restructurings, compensation and other matters.
In the controversy area, Peter has represented clients at the audit and appellate levels of the IRS and in litigation before the federal courts. He is frequently consulted by the IRS’s National Office on Tax Matters, particularly in the corporate acquisition area, and his articles have been cited by the courts on numerous occasions. He has also been asked to consult with congressional staffs with respect to proposed legislation and has represented clients on legislative matters.
A substantial portion of Peter’s practice involves state and local taxation. He has advised multi-state and foreign corporations with respect to structuring their nationwide operations to reduce the impact of state and local taxes and has advised corporations on state and local tax aspects of corporate acquisitions, a subject on which he has written extensively. He has represented taxpayers at the audit and appellate levels with respect to tax controversies and has litigated many state and local tax cases. He is a member of the advisory committees of the Tax Departments and the Tax Appeals Tribunals of both New York State and New York City.
He has served as chairman of the American Bar Association Section of Taxation and of the New York State Bar Association Tax Section and as a regent of the American College of Tax Counsel. He has written more than 100 articles on tax subjects and has lectured on taxation at institutes around the country. He has developed an extensive network of contacts with practitioners and government officials at the federal, state and local levels. Peter was also ranked as a leading tax lawyer in the 2007 edition of Chambers USA: America’s Leading Lawyers for Business and as a leading tax lawyer in the 2008 edition of The Best Lawyers in America.
Peter’s clients include Eastman Kodak, Loews Corporation, Merrill Lynch, Metropolitan Life Insurance Company, Starbucks and The New York Times Company.
