Nikolaos Andronikos has been a partner in Sullivan & Cromwell since 2002. He has broad experience in cross-border mergers, acquisitions and joint ventures, as well as in privatizations and other equity and debt offerings by non-U.S. private and sovereign issuers. He also has substantial experience in project financings in emerging markets, mainly in the oil and gas and mining areas. He has advised governments, businesses and international investment banks in market leading transactions mainly in France, elsewhere in Europe (including Greece and Germany), and in Latin America. Recently, Nikolaos Andronikos represented France Telecom in its acquisition of the minority interests in Equant (through a synthetic merger) and in Wanadoo, and France Telecom s financial advisors in its acquisition of the outstanding minority interests in Orange. He was involved in the Firm s representation of Thomson in its joint venture with TCL International Holdings in China and in connection with Silver Lake Partners investment in Thomson and the implementation of its related strategic plan. He also participated in advising Alcan in its takeover of Pechiney and represented KPMG in the sale of its U.K. and Dutch consulting businesses. Nikolaos Andronikos recent capital markets experience includes representing France Telecom in the IPO of its subsidiary, PagesJaunes, and in its privatization transaction via an unregistered accelerated book-build offering and combined convertible/exchangeable bonds offering in 2004. He also advised the underwriters in France Telecom's €15 billion rights offering in 2003, the largest rights issue ever, and represented Thomson in its 2002 privatization transaction through a combined convertible/exchangeable bonds and secondary shares offering. His project finance experience includes advising the sponsors on the joint venture and financing arrangements for the pipeline projects of OCP in Ecuador and Oleoducto Central in Colombia, the Jose crude oil export terminal and PIGAP II gas reinjection plant projects in Venezuela, and the Sepetiba iron ore export project in Brazil. He also advised Inco in connection with the Goro nickel mining project in New Caledonia. Nikolaos Andronikos is a member of the New York, Paris and Athens bars. He is currently based at the Firm's Paris office, where he was also assigned in 1996-1998. He speaks French, German and Greek. |
