Neil Anderson has been actively involved at Sullivan & Cromwell in corporate matters, focusing primarily on merger and acquisition transactions in the United States, Europe and other parts of the world, including hostile takeovers, hostile takeover defense and proxy contests. He has been involved in numerous significant M&A transactions for both domestic and foreign clients of the Firm, including many of the larger contested takeover battles. Between 2000 and 2002, he served as head of Sullivan & Cromwell s M&A practice in Europe, resident in the Firm s London office. Mr. Anderson is a frequent speaker and faculty member on professional seminars and programs dealing with M&A and related matters. He has been named as a leading lawyer in numerous publications and surveys ranking lawyers in both the United States and worldwide, including The Best Lawyers in America (Woodward/White), Global Counsel 3000 (Practical Law Company, London), An International Who's Who of Mergers and Acquisition Lawyers (Law Business Research), Guide to World s Leading Merger and Acquisition Lawyers (Euromoney Institutional Investors), and The New York Area s Best Lawyers (New York Magazine). M&A transactions over the last decade in which Mr. Anderson has been the lead S&C lawyer include: (i) representing Adelphia Communications Corporation in the recently announced and pending $17 billion sale of Adelphia out of bankruptcy to a joint bid from Time Warner and Comcast; (ii) representing Pharmacia in its $60 billion merger in 2003 with Pfizer (the largest M&A transaction of that year); (iii) representing Union Carbide in its $10 billion merger with Dow Chemical in 2001 (having previously represented Union Carbide more than a decade earlier in its successful takeover defense against the hostile tender offer brought by GAF); (iv) representing Pharmacia & Upjohn in its $25 billion merger with Monsanto in 2001, creating Pharmacia Corp.; (v) representing Columbia Energy Group in its unsolicited takeover bid for Consolidated Natural Gas and in connection with its takeover defense against the unsolicited tender offer commenced by NiSource for Columbia Energy and the subsequent merger transaction between Columbia Energy and NiSource; (vi) representing AIG in its $18 billion acquisition of Sun America; (vii) representing Royal Philips Electronics N.V. of the Netherlands in the $10 billion sale of its subsidiary, PolyGram to Seagram, in Philips acquisition of ATL Ultrasound, in Philips successful unsolicited tender offer acquisition of VLSI Technology, in Philips merger of its cathode ray tube businesses with the same businesses of LG Electronics of Korea creating a new 50-50 joint venture company, in Philips acquisition of Agilent s Healthcare Solutions Business and in Philips acquisition of Marconi Medical Systems from Marconi plc; (viii) representing Grand Metropolitan PLC of the UK in its merger with Guinness PLC creating Diageo PLC; (ix) representing Diageo PLC in the sale of its subsidiary Pillsbury to General Mills; (x) representing Upjohn in its merger with Pharmacia AB of Sweden creating Pharmacia & Upjohn; (xi) representing Western Resources in its unsolicited tender offer for Kansas City Power & Light and its unsolicited tender offer for ADT Limited; (xii) representing Gemstar International in its successful takeover defense against an unsolicited bid by United Video and in its subsequent acquisition of TV Guide; (xiii) representing Provident in its merger with Unum; (xiv) representing BHP of Australia in its acquisition of Hamilton Oil; and (xv) representing Praxair in its successful unsolicited tender offer acquisition of CBI Industries.
