Natalie Dickson Biography :

Natalie O. Dickson is an associate in the law firm of McDermott Will & Emery LLP based in the Firm’s Washington, D.C. office. As a member of the Firm’s Energy & Derivatives Markets Practice Group, Natalie focuses her practice on representing global investment banks, energy companies and commodity trading companies in a variety of transactional, regulatory and risk management matters.

Prior to joining McDermott, Natalie was in private practice focusing on international arbitration and litigation. Her arbitration experience includes representing both sovereign states and private investors in investment and commercial disputes concerning oil and natural gas pipelines and refineries, power plants and other infrastructure projects.

While attending law school at the University of Virginia, Natalie was an editor on the Virginia Tax Journal. She was also research and drafting assistant to David Martin, Professor of Civil Liberties and Human Rights for the Asylum Case Law Sourcebook and continues to represent political asylum and removal clients on a pro bono basis.

Natalie is admitted to practice in New York and the District of Columbia. She has successfully completed the Qualifying Lawyers’ Transfer Test and has an application pending for a license as a solicitor in England and Wales.

Representative Experience:

Assist clients in drafting and negotiating contracts for the sale of long-term power and/or gas contracts, generation facilities and for exchanges of books of trade

Counsel clients in CFTC investigatory, registration and compliance matters

Structure energy management agreements of gas- and alternative-fueled generation facilities

Negotiate documentation for the creation of specialized financing vehicles for the financing of generation facilities

Assist clients in negotiating ISDA and NAESB master trading agreements for physical natural gas, physical power and financial products

Lead due diligence efforts on behalf of a major investment bank prior to its purchase of the structured assets of a power and gas company
