Morgan Burns is a member of Faegre & Benson’s corporate group with experience in many areas of corporate representation, including securities regulation, mergers and acquisitions, corporate governance and general corporate counseling. Mergers and Acquisitions Morgan has participated in the representation of sellers and buyers in a variety of public and private transactions. These transactions have involved various forms of consideration including cash, equity and debt. Morgan also has considerable experience in representing financial advisors in connection with merger and acquisition transactions. Representative transactions in which Morgan has had significant responsibility include the following: The acquisition of Overton's, Inc. by Gander Mountain Company. The sale of H.B. Fuller Company's interest in a global joint venture to EMS-TOGO Corp. The sale of Smithway Motor Xpress Corp. to Western Express, Inc. The acquisition of LighthouseMD by Ingenix, Inc. The sale of H.B. Fuller Company's powder coatings business to Valspar Corporation. The acquisition of Roanoke Companies Group, Inc. by H.B. Fuller Company. The acquisition of Rabbit Semiconductor, Inc. by Digi International Inc. The sale of Retek Inc. to Oracle Corporation. The acquisition of Braun Consulting, Inc. by Fair Isaac Corporation. The acquisition of London Bridge Software Holdings plc by Fair Isaac Corporation. The acquisition of the Clysar film business of E.I. du Pont de Nemours and Company by Bemis Company, Inc. The sale of the Hayssen Machinery Group of Bemis Company, Inc. to Barry-Wehmiller Companies, Inc. The acquisition of Paramount Packaging Corporation by Bemis Company, Inc. Securities Regulation and Corporate Counseling Morgan has represented public and private companies, as well as underwriters, venture capital firms and placement agents, in connection with securities offerings of both equity and debt. Representative public offerings include follow-on equity offerings of Urologix, Inc., Rocky Brands, Inc., Advanced Neuromodulation Systems, Inc. and Stellent, Inc., the initial public offerings of Titan Machinery Inc., Gander Mountain Company, ShopNow.com Inc. and Excelsior-Henderson Motorcycles and multiple debt offerings of Archer-Daniels-Midland Company. Private placements, PIPEs, and venture financings include financings of numerous emerging companies. Venture capital firms represented include Split Rock Partners, SightLine Partners, H.B. Fuller Ventures, and Lemhi Ventures. Morgan’s participation in the general corporate representation of public companies such as Archer-Daniels-Midland Company, Bemis Company, Inc., Fair Isaac Corporation, Gander Mountain Company, Piper Jaffray Companies, Hawkins, Inc. and IKONICS Corporation has afforded him significant experience in the areas of SEC periodic reporting, trading and disclosure practices, proxy regulation, re-sales of restricted securities, stock-based compensation plans, Sarbanes-Oxley compliance and corporate governance matters. From April 2000 until June 2001, Morgan served as Vice President of Corporate Development and Senior Counsel at Dantis, Inc., a Web hosting and managed services company. At Dantis, Morgan was responsible for completing over $40 million in equity financings, primarily from venture capital firms, and a $70 million debt facility with The CIT Group. Morgan also negotiated multiple strategic partnerships for Dantis, including a global alliance with Morgan Stanley Real Estate Funds relating to MSREF’s development and operation of a network of data centers. Other responsibilities included management of Dantis’ vendor relationships, real estate and construction, intellectual property and employment matters. |
