Dick Jones is the immediate past chairman of Drinker Biddle & Reath LLP and has been a partner in the Corporate and Securities and Investment Management Practice Groups since 1970.
Corporate Finance. Dick has extensive experience in corporate finance transactions having represented both issuers and underwriters in public offerings of debt and equity securities and having served as counsel to issuers, purchasers and financial institutions in private placements of debt and equity securities. He has had experience in handling various venture capital and startup transactions representing either the issuer or the venture capital sources.
Mutual Funds. Dick has been involved in the creation of a whole range of mutual funds products primarily for the bank institutional market. He participated in the creation of the first constant net asset value money market fund and since that date has acted as secretary of several proprietary mutual funds which the firm has organized for some of the largest financial institutions in the United States.
Mergers and Acquisitions. Dick has had an active mergers and acquisitions practice representing various companies in the acquisition or disposition of businesses in such diverse industries as computer software, child care, investment management, chemical manufacturing and service businesses.
Technology. Dick has had a great deal of experience both domestically and internationally assisting clients in the licensing of their technology either through direct licensing arrangements or through the participation in technology joint ventures. These activities involve the creation of joint ventures in Great Britain, Norway, France, Saudi Arabia and South Africa which involved not only the normal technology licensing problems but those problems arising from a domestic company doing business in such foreign countries. These activities include the structure and negotiation of licensing, distribution and dealer agreements.
Personal Representation. Dick has had extensive experience in dealing with high net-worth individuals in the transfer of their assets to family trusts or charitable foundations and in representing those individuals with respect to their private investments. Such investments include the organization and construction of a marina, the development of one of the nation's largest software companies and a participation in the ownership of a major league baseball team.
In General. Following law school, Dick served as a law clerk to the Supreme Court of Pennsylvania. |
