Mitchell Eitel joined Sullivan & Cromwell in 1987 and has been a partner since 1996. He is a member of the Financial Institutions and Mergers & Acquisitions Group, with a practice focused on financial services mergers and acquisitions, securities transactions, private equity investments, and bank regulatory matters. Major financial institution mergers on which Mr. Eitel has advised include banking mergers such as JPM Chase/Bank One, First Union/Wachovia, Wells Fargo/Norwest, Wells Fargo/First Interstate, Wachovia/GoldenWest, AmSouth/Regions and Mellon/Bank of New York. Selected Transactions Other recent assignments have included representations of: ABN-AMRO in the sale of its Americas private banking business. Amegy Bancorp in its sale to Zions Bancorp. AmSouth Bancorp in its merger with Regions Financial and in the sale of its credit card and mutual fund businesses. The Bank of New York in the swap of its retail banking business and JP Morgan Chase's corporate trust business. Barclays PLC in the sale of its Americas private banking business, and in its proposed takeover of ABN Amro. China Investment Company in its investment in Morgan Stanley. Citigroup in connection with the investment of $12.5 billion in Citigroup through the purchase of optionally convertible securities by a group that includes Government of Singapore Investment Corp. and Capital Research Global Investors, Capital World Investors, the Kuwait Investment Authority, the New Jersey Division of Investment, shareholder HRH Prince Alwaleed bin Talal bin Abdulaziz Alsaud of Saudi Arabia, former chief executive of the company Sanford Weill, and The Weill Family Foundation; Citigroup in its sale of $7.5 billion in Equity Units to Abu Dhabi Investment Authority. D.E. Shaw in the sale of a stake to Lehman Brothers. Goldman Sachs in its investments in Capmark, Sanyo Electric Company and Sanyo Electric Credit. J.C. Flowers & Co. in the proposed acquisition of Sallie Mae and the acquisitions of Fox-Pitt, Kelton and Coronia Cochran Waller. KeyCorp in its acquisition of American Express Business Finance and Austin Capital Management and the sale of McDonald Investments. Lone Star Funds in the acquisition of Accredited Home Lenders. Merrill Lynch in connection with the investment of $6.6 billion in Merrill Lynch through the purchase of mandatorily convertible securities by Kuwait Investment Authority (Kuwait), Mizuho Financial Group Inc. (Japan) and Korean Investment Corp. (Korea), among others; Merrill Lynch & Co. in its transaction with BlackRock Inc. and in its acquisition of First Republic Bank and its investment in Nuveen. Merrill Lynch & Co. in its sale of $6.2 billion in Common Stock to Temasek Capital and Davis Selected Advisers. Morgan Stanley in the acquisition of Hub Limited. Piper Jaffray in the sale of its brokerage business. Relational Investors LLC in its proxy contest with Sovereign Bancorp. SunTrust in its acquisition of Seix Investment Advisors and in the restructuring and sale of Lighthouse Partners. Wachovia Corporation in its acquisition of GE Money's Auto Warranty business, and in the sales of its corporate trust and HomeEq operations.
