Professional Experience
For over 25 years, Ms. Marlo has represented clients in connection with a variety of complex real estate and commercial transactions. Her experience is broad and substantial, having worked in both private practice for 20 years and serving as General Counsel and Vice President of Legal Affairs for a diverse national consolidated group specializing in real estate development of commercial, self storage and industrial properties.
Ms. Marlo has been involved in all phases of real property acquisition, due diligence, financing, construction, leasing, exchange and disposition. She has represented lenders and borrowers in secured financings, loan workouts, mortgage securitization and foreclosures. Ms. Marlo has represented institutional and private companies in the development of all types of real property projects, including, commercial, industrial, residential, and public projects.
Ms. Marlo has extensive experience in generating investor capital for multi-site and single site real estate development, utilizing debt, equity, and debt/equity structures, including, private placements, syndications, and joint ventures. She has been involved in the formation and capitalization of start-up and emerging companies, including, venture capital financings, debt/equity offerings, federal and state securities compliance, and pre-IPO planning.
Ms. Marlo has negotiated multi-faceted commercial contracts, voting control vehicles, inter-creditor arrangements, mezzanine and multi-tiered financings, restructurings, combinations, reorganizations, mergers, joint ventures, dispositions, stock and asset acquisitions, licensing arrangements, and employee compensation plans. She has been involved in the formation and maintenance of corporations, general and limited partnerships, limited liability companies, and single purpose entities.
Ms. Marlo has represented a broad spectrum of seasoned commercial and real estate ventures, including, software and technology-based industries, telecommunications, internet, manufacturing, real estate investment trusts, real estate investment syndications, municipal redevelopment agencies, and secured financing lenders.
Prior to her pursuit of a legal education, Ms. Marlo practiced as a Certified Public Accountant with an international public accounting firm. Her experience included audits of public companies, tax planning, and public offerings of equity/debt securities.
