Ms. Cohen has a business transactions practice primarily in the areas of internet and e-commerce law and commercial real estate transactions. Ms. Cohen provides advice on all aspects of commercial real estate transactions, and has extensive experience in drafting and negotiating sale and purchase agreements, retail and office leases, loan documents, construction contracts, reciprocal easement and development agreements, condominium and homeowners’ association documents. Real estate clients include commercial developers and property owners, retail companies, homebuilders, and financial institutions. Prior to joining Miles & Stockbridge, Ms. Cohen served as associate general counsel to The Ryland Group, Inc., a national, publicly held real estate homebuilder and mortgage finance company. Ms. Cohen’s technology practice is broad based and includes intellectual property and information technology counseling for both technology and brick and mortar companies. She provides advice on all aspects of business technology, including licensing, consulting services, e-commerce and privacy issues. Ms. Cohen negotiates and drafts a broad range of technology and e-commerce related agreements, including content and software licensing; software development, distribution and marketing; ASP services, co-branding arrangements; non-disclosure agreements (relating to compliance with domestic requirements and on a cross-borders basis); and consulting and other professional services agreements. Ms. Cohen also counsels clients on regulatory compliance and privacy law requirements specific to companies involved in e-commerce and other internet related areas such as on-line privacy and consumer protection laws and companies doing business outside the United States. Clients include software developers, consultants and distributors, dealers, and corporate users of intellectual property.
