Michael Peregrine Biography :

Michael W. Peregrine is a partner in the law firm of McDermott Will & Emery LLP, resident in the Firm’s Chicago office. He concentrates his practice in the representation of nonprofit corporations in connection with governance, corporate structure, executive compensation, tax and change-in-control matters. Michael is recognized as one of the leading national practitioners in not-for-profit corporate law.

Michael is outside governance counsel to many leading nonprofit corporations. He has served as special counsel in connection with numerous confidential internal reviews and investigations. He also has substantial experience with complex business transactions, having advised nonprofit clients on over 85 separate mergers, acquisitions and dispositions.

In the 2007 edition of Chambers USA: America’s Leading Lawyers for Business, Michael is listed in the top tier of healthcare lawyers in Illinois and is characterized as articulate, informed and polished. Michael was appointed by the American Health Lawyers Association as a Fellow for 2007-08. He was also recently named by The BTI Consulting Group as a Client Service All-Star in its annual survey on Client Service Performance for Law Firms. Michael was cited by The National Law Journal as one of the "40 Health Care Lawyers Who Have Made Their Mark." Michael has been selected by his peers to be included in the 2007 edition of The Best Lawyers in America for his expertise in health care law, a listing he has made for the past 10 years. He participates as Nonprofit Law Advisor to the American Law Institute.

Michael is a frequent author and speaker on legal topics affecting tax exempt, nonprofit corporations. He is a faculty member of The Governance Institute, La Jolla, California. He is also a member of the editorial boards of both BNA’s Health Law Reporter and the Exempt Organization Tax Review. Michael has authored over 200 articles on nonprofit corporation, tax-exempt organization and governance law topics.

Most recently, Michael has been noted for his role as a member of the Legal Framework Work Group of the Panel on the Nonprofit Sector, convened to advise the Senate Finance Committee on federal oversight legislation for nonprofit organizations.

Michael is frequently quoted on nonprofit law issues, in publications as diverse as The New York Times, The Wall Street Journal, The Washington Post, U.S. News and World Report, BusinessWeek, Crain’s Chicago Business, Chicago Tribune and Modern Healthcare.

Special counsel (2006-2007) to international academic medical center in internal review of conflicts of interest issues involving commercialization of intellectual property.

Special counsel (2005-2007) to large national Catholic health care system in establishment of system of internal legal and governance controls.

Outside counsel (2006-2007) to nonprofit integrated delivery system in corporate and governance reorganization of system.

Representation of large national charitable organization in connection with development of shared fundraising model with local chapters.

Outside counsel to numerous leading children’s hospitals, academic medical centers and health systems in revision of governance structure.

Transaction counsel in 2007 sale of municipal hospital to for-profit purchaser for consideration in excess of $250 million.

Transaction counsel in 2007 transfer of corporate membership of religiously sponsored community health system to national religiously sponsored health care system in transaction valued in excess of $200 million.

Transaction counsel in 2006 transfer of corporate membership of community-based health system to regional nonprofit health system in transaction valued in excess of $300 million.

Transaction counsel in 2006 sale of community nonprofit hospital to for-profit purchaser for consideration in excess of $100 million.

Professional Activities:

Co-author of all three governing board educational white papers published jointly by the Office of Inspector General (Department of Health and Human Services) and the American Health Lawyers Association.
