Description of Practice:
Michael Murphy is "Of Counsel" with the firm, resident in the Los Angeles office, where he practices tax law. Mr. Murphy provides federal and state income, property and documentary transfer tax advice in connection with domestic and foreign real property transactions. Those transactions include purchase/sale transactions, IRC Section 1031 exchanges, partnership and limited liability company formations, partnership and limited liability company dissolutions, partnership interest and membership interest transfers, and partnership and limited liability company restructurings. He also provides tax advice in connection with lease transactions and loan workouts (including debt restructurings). Mr. Murphy represents developers and financial partners in the formation of general and limited partnerships and limited liability companies. He drafts and negotiates general and limited partnership agreements and limited liability company operating agreements, property and development management agreements, promissory notes, deeds of trust, dissolution agreements, redemption agreements, assignments, settlement agreements and other agreements in connection with real estate and workout transactions.
Educational History:
Mr. Murphy received his B.A. in Accounting and Psychology from Whittier College, where he graduated with honors. He obtained his J.D. and MBA from Stanford University and his LL.M. (Taxation) from New York University School of Law. |
