Experience:

Matt Posthuma concentrates his practice on private investment funds, mergers & acquisitions, joint ventures and other corporate and securities transactions. He has represented publicly traded and privately held clients worldwide in a variety of industries, with a particular focus on real estate and financial institutions. Matt has handled funds with a wide range of investment strategies, including core, value-add, opportunistic, global and other foreign country funds. He joined Mayer Brown in 1994.

Matt was selected as an "Illinois Super Lawyer" by Law & Politics and Chicago magazines in 2006 and 2008. He is proficient in Spanish.

Notable Engagements:

Represented Dividend Capital Trust in an industrial property joint venture with a fund sponsored by Boubyan Bank, a Kuwait-based Islamic bank.

Represented Merrill Lynch in the acquisition of Wave Securities, an introducing broker, from Archipelago Holdings.

Represented Dividend Capital Trust in the acquisition by merger of the industrial property portfolio of Cabot Industrial Value Fund.

Represented Capital One Auto Finance in the acquisition of the indirect auto lending business of KeyBank.

Represented Macquarie CountryWide Trust in the acquisition with its joint venture partner, Regency Centers Corporation, of the retail shopping center portfolio of First Washington Realty and CalPERS.

Represented Endurance Capital Investors in its investment in The Peoples BancTrust Company, Inc.

Represented CNA Trust Corporation in the sale of its retirement plan trust and recordkeeping business to Union Bank of California, N.A., and its subsequent merger with Nevada Security Bank.

Represented Chicago Mercantile Exchange Inc. in the acquisition of Liquidity Direct Technology, LLC, an options trading software company.

Represented Macquarie Office Trust in the formation of a joint venture with Brandywine Realty Trust for the acquisition of Class A high-rise office buildings.

Represented Suez S.A. in the sale of Ondeo Nalco to a consortium of private equity investors led by The Blackstone Group, Apollo Management and Goldman Sachs Venture Partners.

Represented The Northern Trust Company in the sale of Northern Trust Retirement Consulting, LLC, to Hewitt Associates LLC.

Represented Canadian Imperial Bank of Commerce in the financing of the acquisition by a private equity fund of LifeMark Health, a chain of physical therapy centers, including the receipt by CIBC of equity in the new holding company for LifeMark.

Represented Northern Trust Investments, Inc., in its acquisition of the passive investment management business of Deutsche Bank AG.

Represented management in connection with the restructuring of Lillibridge Health Trust, a real estate investment trust, and the spin-off of its asset and property management businesses to its common shareholders.

Represented Wachovia Corporation in the sale of First Union Institutional Debt Management, Inc., a manager of collateralized debt obligations (CDO) vehicles, to David L. Babson & Co., Inc.

Represented Arthur Andersen LLP in the sales of various accounting practices to KPMG LLP.

Represented The Northern Trust Company in the formation of RemitStream, LLC, a joint venture with Fiserv, Inc. for the provision of lockbox services.

Represented Macquarie Bank Limited in the formation of Macquarie Capital Partners LLC, an investment bank specializing in the real estate industry.

Represented Northern Trust Corporation in its investment in preferred stock of myCFO.com.

Represented Samuel Manu-Tech Inc. in the acquisition of the assets of WorldClass Processing, Inc., out of Chapter 11 bankruptcy.
