Marsha D. Matthews is a partner in the law firm of McDermott Will & Emery LLP based in the Firm’s Washington, D.C. office. Marsha practices in the areas of corporate law, finance and securities. She represents corporations and shareholders in a variety of corporate transactions, including acquisitions and sales of public and privately held companies, commercial loan transactions, and general corporate and business matters.
A significant portion of her practice is devoted to leveraged employee stock ownership plan (ESOP) transactions. Marsha has represented institutional trustees, sponsoring corporations and selling shareholders in sales of securities to an ESOP. She has also represented clients in the establishment of ESOPs for public and private companies, Section 1042 sales and ESOP loans, and has represented independent trustees in purchases and sales of stock.
Marsha is admitted to the bars in the District of Columbia, Kentucky and New York. She is a member of the District of Columbia Bar and the Kentucky Bar Association.
