Professional Experience
Prior to joining Huron Mark was a senior manager in the assurance and business advisory practices of Ernst & Young and Arthur Andersen. During his career Mark has provided advisory services to clients in a broad range of areas including:
Supervised and conducted the financial statement audits of numerous public and private companies including restatements initial public offerings and other registration statements.
Performed financial due diligence reviews on target companies for both strategic and financial buyers identifying areas of exposure understanding and testing add-back adjustments and evaluating current financial management structure and accounting policies and procedures to identify areas of concern or opportunity.
Performed audits of acquired targets post acquisition on behalf of both buyers and sellers including Form 8-K public filings. Performed reviews of target closing balance sheets to assist in the evaluation of the delivered closing balance sheet by the seller and to prepare for post-closing purchase price adjustment negotiations. Also assisted with the assessment of the opening balance sheet accounting for the buyer including goodwill intangible assets and deferred revenue.
Mark has significant experience working with clients responding to inquiries from the SEC and other disputes and investigations including the following:
Assisted with the response to formal and informal SEC investigations of accounting errors and irregularities including the preparation and filing of restated financial statements.
" Assisted with the response to routine SEC reviews of Forms 10-K 10-Q and S-1 as well as other types of filings.
Analyzed and interpreted the accounting for complex transactions including revenue recognition purchase accounting and the accounting for stock-based compensation.
Assisted buyers and sellers with the assessment of and negotiation of acquisition purchase price disputes.
Participated in the investigations of "whistleblower" allegations.
Assisted with the preparation of expert reports for both plaintiffs/claimants and defendants/respondents in relation to lawsuits and arbitration.
