Mara Garcia Kaplan is a member of the international business law team. She concentrates her practice in international business matters, which includes counseling companies on international corporate reorganizations; international mergers and acquisitions; cross-border transactions; corporate governance issues; and contracting and compliance matters. She is experienced in managing international projects, structuring and negotiating international agreements, and closing international transactions.
Mara has been lead counsel in a wide range of commercial transactions in the United States and Latin America, assisting clients with various forms of financing structures, including development and construction lending, and refinancing and restructuring debt. Mara regularly counsels clients in the distribution field, including the establishment and restructuring of distribution networks; and the negotiation and preparation of domestic and international distribution agreements. On compliance issues, Mara counsels clients on all aspects of U.S. laws relating to cross-border transactions, including the Foreign Corrupt Practices Act. She also counsels management teams regarding international business transactions, and coordinates with, and manages local counsel in various countries.
Prior to her legal career, Mara spent six years in the financial services industry in Minnesota. |
