Ms. Beresford's practice primarily involves regulatory and securities matters and corporate governance issues, particularly as they relate to financial institutions and their publicly held holding companies. Ms. Beresford has acted as both issuer's counsel and underwriter's counsel in numerous securities offerings and has counseled numerous companies in connection with merger and acquisition transactions, asset sales, corporate reorganizations and charter conversions.
Ms. Beresford also counsels companies on a wide variety of securities matters, including the short-swing profit rules, Securities and Exchange Act reporting requirements and general disclosure issues. Ms. Beresford's practice also includes the representation of public companies with respect to stockholder relations, stockholders' meetings, corporate governance matters and executive compensation issues, including employment agreements and stock-based benefit plans and arrangements.
