Leon Tuan practices in the areas of commercial real estate transactions, general business matters and real estate finance transactions. In the commercial real estate area, Mr. Tuan represents investors, developers, landlords and tenants in buying, selling, developing, leasing and financing a wide variety of properties, including office buildings, shopping centers, apartment complexes, industrial properties and mixed-use projects. In the business area, Mr. Tuan represents individuals and small and mid-size companies in general business transactions and business disputes, such as forming and counseling business entities and advising companies across a broad spectrum of business issues, including trade secrets, employment matters, and shareholder and partner disputes. In the real estate finance area, Mr. Tuan represents institutional and private lenders in originating acquisition, construction and permanent loans, and also advises lenders in loan restructurings and loan workouts. Mr. Tuan received his B.S. in Business Administration from the University of California at Berkeley in 1982 and his J.D. from the University of California, Hastings College of the Law in 1987, where he was an editor of The Hastings Law Journal. During law school, he served as a judicial extern for a federal district court judge. Mr. Tuan has lectured frequently on real estate leasing and finance issues, and is a member of the International Council of Shopping Centers. Mr. Tuan also worked in public accounting and has earned a Certified Public Accountant license. He is currently on the Board of Directors of the San Francisco General Hospital Foundation. Representative Matters Represented developer in a public-private project with a redevelopment agency involving the development, financing and leasing of a 400,000 square-foot big box shopping center. Negotiated a disposition and development agreement, master ground lease, reciprocal easement agreement, design and construction documents, construction loan documents and leases with national, regional and local retailers. Advised major technology company regarding its office and R&D leasing across the Western United States. Projects include negotiating a build-to-suit office building lease, the leasing of a three building office campus, and numerous office and R&D space leases and subleases. Assisted developer in the construction of a new Class A office building and the integration of the new office building with an existing office building. Negotiated the architect contract, construction contract, lease termination and re-location agreements, and construction loan documents. Advised developer on the acquisition of transferable development rights and the application of those rights to the new office building. Conducted due diligence on the land use, planning and permitting aspects of a variety of multi-family projects on behalf of institutional real estate investment advisor. Reviewed zoning and planning codes and project approvals, and investigated project status with city planning and building staff. Represent fast-growing information technology company on all issues relating to its legal and business affairs, including entity formation, employment, vendor and customer contracts and disputes, and trade secrets. Advised management group in their leveraged buyout of a division of a Fortune 50 company. Negotiated the asset purchase agreement, senior and junior loan documents, an intercreditor agreement, and employment and non-disclosure agreements. Represented shareholder in a closely held family corporation in disputes with other shareholders. Resolution of the matter included spinning off assets in tax-free transactions in order to divide the family business units among the shareholders. Assisted private lending group in originating acquisition and development loans to fund the conversion of an industrial building and a movie theater into high-rise condominiums. Structured development and entitlement milestones as conditions to the lender's obligation to fund advances. Represented major bank in the restructuring of a loan secured by three shopping centers located in two states.
