Lawrence Koltun focuses primarily on securities law and corporate transactions. He has successfully taken startup and established companies public, through both fully underwritten and self-underwritten offerings. His services include preparing the prospectus, negotiating with underwriters, handling all of the corporate matters related to the offering, and conducting the due diligence review that underwriters require in offerings.
He also has prepared numerous offering documents for the private placement of securities and performs services similar to those required for public offering. He has guided mergers and acquisitions by public companies, whether for stock or securities, and has managed secondary securities offerings. In all transactions, he constantly plans and reviews transactions for compliance with all federal and state (Blue Sky) securities laws. Mr. Koltun also assists ongoing public companies in their compliance obligations under the Securities Exchange Act of 1934.
He offers special expertise to clients purchasing or selling a business, or creating a new line of business or engaged in corporate control and restructuring matters. This includes negotiating deal terms, creation of agreement documents and providing clients with the legal and practical framework to make business decisions in specific transactions. Mr. Koltun's long-established professional and community relationships have proven invaluable to companies seeking new opportunities and financing. Mr. Koltun received Phi Beta Kappa recognition upon graduating Magna Cum Laude from Washington University in St. Louis in 1972. He received his law degree in 1975 from the University of Pennsylvania. He served as a senior staff attorney with the Securities and Exchange Commission from 1979 through 1983, and as a partner in large firm private practice. He founded Koltun & King, P.C., in 1991.
Mr. Koltun has taught securities law through Continuing Legal Education for the D.C. Bar Association, as a Lecturer at the University of Pennsylvania School of Law, and as an Adjunct Professor at the George Mason University in Fairfax, Virginia. He is a member of the Business Law Section of the American Bar Association, is a member of the Association for Corporate Growth, and serves as the initial General Counsel to the Board of Directors for the Association for Corporate Growth's National Capitol chapter. He is also founder and President of the Washington, D.C. chapter of the International Network of Boutique Law Firms (INBLF). He is admitted to practice in the District of Columbia, Maryland and Louisiana. |
