Kip focuses on public law and finance, with emphasis in the areas of general governmental finance, conduit finance and economic development, with an emphasis on complex transactions He serves as bond counsel, underwriter’s counsel, letter of credit bank counsel and issuer’s counsel in transactions involving the issuance of bonds, notes and other obligations by state and local governments. Kip also represents states, state-level authorities and other agencies of state government, municipalities, school districts, port authorities, counties, townships and special districts on various matters. He is experienced with many of the techniques used by those entities to finance facilities and other assets, including general obligation debt; revenue bond debt; variable rate and auction rate debt; tax increment financing; special assessments; certificates of participation; asset securitizations; student loan financings; and pledges of revenues other than taxes. He also has drafted intergovernmental agreements to facilitate those techniques. Kip’s experience with private sector commercial transactions includes synthetic leases, off-balance sheet financing, commercial paper and other debt financing. Kip assisted the Ohio Department of Development in drafting language that created the Innovation Ohio Loan Program and the Research and Development Loan Program and the Ohio Building Authority in reviewing and drafting amendments to state law. He is a frequent speaker on economic development topics, including port authorities, tax increment financing and state loan programs. Kip is a member of the National Health Lawyers Association, Ohio Economic Development Association, Mid-Ohio Development Exchange, and the American, Ohio and Columbus Bar Associations. Kip previously was employed with Squire, Sanders & Dempsey LLP from 1991-2000. He joined Calfee in 2000, becoming a partner in 2002. |
