Kristin is a transactional attorney who primarily represents business owners, business entities and financial institutions. Kristin specializes in the areas of business and finance, general corporate matters including mergers and acquisitions, real estate and estate planning. Kristin’s practice often involves multi-state transactions with her representation of entities and banks located throughout the Rocky Mountain region.
Kristin enjoys working closely with her clients to help them achieve their goals in a cost-effective and efficient manner without compromising their objectives. Kristin works from the firm’s Denver Tech Center office.
A native of Michigan, Kristin has lived in and traveled to many parts of the United States but since 1995, she has been proud to call Colorado home. Kristin enjoys traveling, hiking, skiing, and, of course, working on her golf game.
Experience
Kristin has represented national banking associations, community banks and private equity lenders in commercial, real estate, construction and agricultural loans. In her representation of lenders, Kristin has drafted and negotiated syndicated and non-syndicated loans with individual transaction values in excess of $100 million.
Kristin’s general corporate practice involves representing small to medium-sized businesses in a wide variety of matters, including formation and organization of the business, advising and preparing buy-sell agreements among equity owners, counseling officers and directors, drafting and negotiating trade and other agreements, such as non-competition agreements and employment agreements, preparing business succession plans and winding up and dissolving companies. Kristin also spends significant time assisting her business clients and community banks with acquisitions and sales. She has represented both buyers and sellers in mergers, stock purchases and sales, and asset purchases and sales, and has been involved in transactions individually valued from less than $100,000 to more than $40 million.
Kristin has represented both buyers and sellers, and landlords and tenants, in commercial and residential real estate transactions. As part of her real estate practice, Kristin drafts and negotiates a variety of contracts and agreements, including purchase and sale contracts, deeds, escrow agreements, commercial leases, and easements, and in connection with those transactions she conducts title, survey and environmental disclosure review and closings.
In her estate planning and probate practice, Kristin assists individuals with their estate planning needs and advises and counsels her clients regarding testamentary dispositions, intervivos transfers and gifts, and titling of assets, and prepares wills, trusts, powers of attorney and living wills for her clients. Kristin also represents estates in all aspects of the probate process and counsels personal representatives with regard to collection, administration and distribution of estate assets. |
