Karl Wiemer has broad experience in all aspects of complex financing transactions. He regularly represents providers of senior secured debt, mezzanine and other subordinated debt and equity financing, as well as institutions lending into second lien, tax and accounting driven and other specialized structures. His practice includes acquisition financing, working capital lending, asset based and cash flow based lending, workout and restructuring, Chapter 11 debtor in possession and exit financing. Mr. Wiemer represents both lenders and borrowers in many industry sectors, with significant experience in the areas of satellite and telecommunications, energy, cable television, financial services, retail and manufacturing. A significant part of Mr. Wiemer's practice involves advice to providers of interest rate and commodities hedge products that are secured by collateral pledged as part of larger finance transactions. A sample of Mr. Wiemer s key representations includes: the private debt group of a prominent investment management firm with $7 billion under management, providing financing for multiple corporate acquisitions and in the purchases of senior and second lien debt; a leading European and a leading U.S. financial institution, as co-agents for lenders of $60 million of financing to acquire a prominent national coffee brand; the managed assets group of a leading international financial institution, as agent for both the pre-petition lenders and debtor in possession lenders to a manufacturer of specialized chemicals, resulting in a 100% recovery; a leading international financial institution, as agent for both the pre-petition lenders and debtor in possession lenders to a competitive local exchange carrier and internet-host, resulting in a 100% recovery; a leading international financial institution, as agent for the lenders to a manufacturer of wet and cold weather wear, in the out of court restructuring and sale of the borrower; a leading provider of investment capital, with over $5 billion invested in middle market companies, as sponsor and lead investor in the acquisition of a manufacture and distributor of specialty hardware for the hospitality industry; and the leading European provider of heavy satellite launch services in the structuring and implementation of an innovative financing vehicle for its launch customers.
