Joel Needleman advises public and private companies in all stages of development on a wide range of corporate transactions and legal and business issues. His particular emphasis is on high technology companies, to which he can provide guidance on entity formation, venture capital and other financings, equity compensation arrangements and business asset combinations.
Buyers and sellers in mergers and acquisitions turn to Joel for help with drafting and negotiating merger agreements, and stock and asset purchase agreements. He also has experience with third party and issuer tender offers. Joel's transactional experience also includes corporate financings that involve private placements, debt securities and venture capital. And his general corporate advice to clients includes entity formation, corporate governance, securities law compliance and equity compensation strategies.
Joel brings a varied business and legal background to his corporate work. Prior to joining Foley Hoag, he was associated with the New York office of a national law firm. He also was associate general counsel at a private equity-backed market data company that was acquired by Reuters in June 2005. Before he entered law school, Joel worked as a management consultant at Monitor Company in Cambridge, Massachusetts.
