Jeffrey Scott is a partner in Sullivan & Cromwell s Litigation Group. His litigation practice focuses on complex securities, class action, banking, and other commercial matters. Mr. Scott has represented financial institutions, corporations, and directors in securities class actions around the country, including those involving Enron and HealthSouth. He has also represented corporations and financial institutions in a number of SEC and Department of Justice investigations and regulatory enforcement proceedings involving allegations of securities fraud, money laundering, and Bank Secrecy Act violations. Mr. Scott has represented, among others, Banco Popular de Puerto Rico, Barclays Bank plc, The Clearing House Association L.L.C., Goldman Sachs, Microsoft, Philips Electronics, Softbank and UBS. Mr. Scott was a featured speaker at the Bond Market Association s annual Legal and Compliance Conference in 2005 and 2006 and the Bloomberg Law Symposium in 2007, where he addressed securities law issues of interest to financial institutions and other corporations. Mr. Scott, like many of his colleagues at Sullivan & Cromwell, has done a significant amount of pro bono work during the course of his career. The New York Legal Aid Society recognized him in 2000, 2002, and 2005 for outstanding pro bono service. In 2005, Mr. Scott argued and won an appeal in the U.S. Court of Appeals for the Second Circuit reversing the district court's denial of his pro bono client's habeas corpus petition. Mr. Scott is the assignments partner for the Firm s Litigation Group. Selected Cases Represents Barclays Bank plc in litigation in federal and state courts in matters relating to Enron. Mr. Scott was a member of the S&C team that successfully obtained the reversal of the District Court s class certification decision in the Enron Corporation Securities Litigation. Represents Barclays Capital Inc. in a lawsuit pending in the U.S. District Court for the Southern District of New York filed by companies who entered into master repurchase agreements with Barclays. Represents UBS in the U.S. District Court for the Northern District of Alabama in the HealthSouth Corporation Securities Litigation. Represented the American Bankers Association, The ABA Securities Association, The Clearing House Association L.L.C. and The Financial Services Roundtable, as amici curiae in Stoneridge Investment Partners, LLC v. Scientific-Atlanta, et al., No. 06-43 (S. Ct.), in which the U.S. Supreme Court rejected plaintiffs scheme theory of liability under Section 10(b) of the Securities Exchange Act of 1934. Represented national trade organizations, including the U.S. Chamber of Commerce and The Clearing House Association L.L.C., as amici curiae in an appeal to the Court of Appeals for the Ninth Circuit that addressed the issue of the scope of liability under Section 10(b) of the Securities Exchange Act of 1934. Successfully represented directors of the AllianceBernstein Large Cap Growth Fund, Inc. in connection with an appeal in the Court of Appeals for the Third Circuit in which the court affirmed the dismissal of securities laws claims against the directors. Represented an international investment bank in regulatory investigations relating to alleged conflicts of interest concerning its equity research, resulting in settlements with various federal and state regulators. Represented a bank in regulatory and DOJ investigations involving Bank Secrecy Act issues, including the negotiation of a deferred prosecution agreement. Represented a leading software company in connection with its settlement with the SEC of an investigation relating to the use of accounting accruals and reserves. Represented an international corporation in federal court in connection with its settlement of breach of contract claims asserted against it by another corporation.
