Mr. Dalebroux is a member of the firm's Executive Board and co-chair of the Transportation and Infrastructure client service team. He concentrates in the area of commercial transactions. His practice focuses upon mergers and acquisitions, securities offerings, financing arrangements and joint venture formation.
In mergers and acquisitions, Mr. Dalebroux has represented both sellers and buyers in negotiating and documenting transactions involving public and private companies of regional and national stature, with a special concentration in the infrastructure, energy, manufacturing, retail and financial industries. Several of the buyers in these transactions have been European-based entities. Securities offerings have included both debt and equity offerings ranging from small private offerings to billion dollar public offerings. His securities experience has also included advising on periodic compliance matters once issuers have become public companies.
Financial transactions have involved representing lenders in working capital, real estate acquisition, business acquisition, construction and other loan situations, on both a secured and unsecured basis, and have included multi-bank arrangements, both as lead bank and as participant. Mr. Dalebroux has also helped a number of companies form joint ventures including several involving both U.S. and foreign companies.
Mr. Dalebroux has spoken to a variety of local, national and international groups concerning both merger and acquisition transactions, financing transactions and corporate governance issues. He has also authored an article called Preparation of Proxy Statements and Annual Reports to Shareholders which appears in Securities Law Techniques published by Matthew Bender.
