Jay Clayton Biography :

Jay Clayton has extensive experience in public and private mergers and acquisitions transactions as well as capital markets offerings, including equity and leveraged finance. He also has advised various multinational companies and their boards in connection with corporate investigations and regulatory matters involving the U.S. Securities and Exchange Commission, the Department of Justice and the Federal Reserve Bank of New York. Jay advises several high net worth individuals and families and their investment vehicles regarding public and private investments. Selected M&A and Private Equity Transactions In the M&A and private equity areas, Mr. Clayton's recent experience includes representing: Goldman Sachs and affiliated funds in connection with over a dozen investments in private companies and investment funds; Michael Krasny, the founder of CDW, in the $7.2 billion sale of CDW to Madison Dearborn; Markem (controlled by the Putnam family) in connection with its sale to Dover Technologies; Simrad (an Altor portfolio company) in its acquisition of Lowrance Electronics by tender offer; TeliaSonera in connection with its US$ 3+ billion acquisition of a controlling stake in Turkcell; the equity holders of Nycomed in connection with the buyout by CSFB private equity and Blackstone; the KPMG national practices in Germany, the Netherlands and the United Kingdom in the sale of their consulting practices to BearingPoint and Atos Origin; and Lansforsakringar AB in the sale of its investment management business to Alfred Berg/ABN AMRO. Selected Capital Markets Transactions Mr. Clayton has acted on a wide variety of securities transactions, including high-profile transactions such as: the sale by members of the Gottwald family of equity interests in Albemarle to Albemarle; the initial public offering of Och-Ziff; the recent $1 billion 144A equity offering by Oaktree Capital (the first issuer to use the new GSTrUE trading procedures); sales of Lowes stock aggregating in excess of $1 billion in connection with administration of the Preston Tisch estate; various offerings by AIG; the equity and exchangeable bond offerings by Diageo to dispose of its stake in General Mills (food and beverages); the high-yield offerings of NTL (cable), Jenoptik (photonics) and Vivendi Universal (media and entertainment); and the initial public offerings of the Swedish companies Nobia (furniture), Carnegie (investment banking) and Eniro (directory services). Jay also has advised issuers, sellers and block purchasers on over forty significant "block" trades aggregating over $20 billion, including trades involving securities of Google, General Mills, Thomson, Puma AG, Vinci, Atos Origin, Vodafone, ADECCO, Sonera, Vivendi Universal, Eniro, BSkyB and Tele 1.
