James Zhang worked in a famous Hong Kong Invested Real Estate Consulting Company in Shanghai as Legal Consultant and in a German invested consulting firm as Consultant before joining JSM Shanghai office in the middle of 2006.James Zhang advises on M&A, general corporate, FDI, real estates, etc.

Real Estate
Assisted a famous Hong Kong real estate developer in its joint venture project with another top tier Hong Kong developer, by means of the acquisition of 50% equity interest in an overseas project company; conducted the legal due diligence on the three PRC project companies which are developing a plot of commercial land in downtown of Shanghai;
Assisted individual investors and Hong Kong/British investment institutions in acquiring the share of or properties from local property owners/real estate developers in China;
Advised an European plastic-processing machinery manufacturer on its greenfield investment in Shanghai, and the assignment of granted State-owned land use right for the new plant;
Advised on the development, sales, purchase, property management matters etc of different kinds of properties (residential, commercial, industrial etc.).
M&A, Corporate
Advised a famous French alcohol distribution group in its taking-over of share of and assets from local wine producers;
Assisted a world’s leading automotive electronics manufacturer in acquiring the majority share in an existing equity joint venture from its Chinese State-owned partners in Shanghai;
Assisted a German automobile group to take over the assets of a WFOE in the north of China owned by a famous USA telecom equipment manufacturer, and advised on the incorporation of a new establishment for acquiring and operating such assets;
Assisted a Fortune 100 German corporation of automotive electronics to establish its managing regional headquarter in Shanghai.
Securities
Assisted a Sino-American equity joint venture in the pharmaceutical sector in its initial public offering in the PRC stock market, prepared the application documents submitted to the China Securities Regulatory Commission;
Advised a top tier banking and capital market dealer in registering its representative office in Shanghai, documentary preparation and submittals to the China Security Regulatory Commission;
Labour & IPRs
Advised on a labour arbitration between an European invested medium-sized enterprise in Shanghai and its former General Manager, presented on behalf of this employer before the Shanghai Municipal Labour Arbitration Commission;
Assisted a top-tier European chemicals manufacturer in the trademark protection raid actions against local counterfeiters.
