Grayson is a partner in the business law department. He focuses his practice on mergers and acquisitions, private equity and venture capital acquisition and growth financing transactions, corporate and securities law, complex joint ventures, and general business law. He also serves as outside general counsel for numerous companies, including software and other high tech, manufacturing and service related businesses. He has significant experience representing early stage and middle market companies (both private and public companies) in their acquisition, financing and commercial transactions. Grayson is a licensed Certified Public Accountant (CPA) in Texas (inactive).
Representative Matters
Represented buyers, sellers and executives in domestic and international acquisitions, dispositions, redemptions and merger transactions in various industries, including high tech, manufacturing and service businesses.
Represented mezzanine debt lender in numerous acquisition/growth financings in various industries.
Represented lenders and borrowers in multi-layered financings, including representing a company in a leveraged ESOP acquisition financed with senior, mezzanine and subordinated debt.
Represented companies and investors (including venture funds) in angel financings and Series A, B, C and later stage Preferred Stock financings.
Represented pharmaceutical, software, manufacturing, real estate and service companies in licensing, research, joint venture, supply, distribution, confidentiality, development, marketing, employment and consulting agreements.
Represented hotel developer in structuring and financing numerous joint development projects.
Represented numerous companies in federal and state securities compliance matters, including offerings and on-going reporting.
